This Purchase Order is issued by the Dakar Port Authority & Maritime Services S.A. (hereinafter referred to as the "Buyer") to Oceanic Marine Engineering Solutions Ltd. (hereinafter referred to as the "Supplier") for the procurement, deployment, and ongoing professional services of a qualified Marine Engineer to support the operational, maintenance, and technical oversight functions of the Buyer's vessel fleet and port infrastructure located in Senegal Dakar. This Purchase Order constitutes a binding contractual agreement between both parties and shall be governed by the commercial laws of the Republic of Senegal, with particular reference to the maritime and labor regulations applicable in the Dakar region.

The Marine Engineer engaged under this Purchase Order shall be responsible for the comprehensive management of all marine mechanical systems, propulsion units, auxiliary machinery, and electrical installations aboard the Buyer's commercial vessels operating out of the Port of Dakar. The scope of work further extends to the supervision of dockside power systems, ballast water treatment equipment, and environmental compliance monitoring as mandated by the Senegalese Ministry of Maritime Affairs and the International Maritime Organization (IMO) standards.

3.1 Delivery and Deployment: The Marine Engineer shall be fully deployed and operational at the Buyer's designated facility in Senegal Dakar no later than thirty (30) calendar days from the date of acceptance of this Purchase Order. The Supplier shall bear all costs associated with the engineer's relocation, work permit acquisition, and initial onboarding within the Senegalese jurisdiction.

3.2 Payment Terms: Payment shall be made in the West African CFA Franc (XOF) via bank transfer to the Supplier's designated account. An initial advance payment of twenty-five percent (25%) of the total Purchase Order value shall be disbursed upon signature. Subsequent payments shall be made on a monthly basis within fifteen (15) business days of receipt of a valid invoice and completion of the corresponding service milestone. The final payment shall be due within thirty (30) days of the successful completion of all deliverables outlined in this Purchase Order.

3.3 Qualifications and Compliance: The Marine Engineer assigned under this Purchase Order must hold a valid Class 1 Marine Engineer Certificate of Competency issued under the STCW Convention, a minimum of ten (10) years of documented experience in marine engineering, and full compliance with all labor and immigration regulations of the Republic of Senegal. The Supplier warrants that the engineer shall maintain all necessary professional certifications throughout the duration of this engagement.

3.4 Performance Standards: All services rendered in Senegal Dakar shall conform to the highest international marine engineering standards, including but not limited to those established by the International Association of Classification Societies (IACS), the American Bureau of Shipping (ABS), and the specific operational requirements of the Dakar Port Authority. Failure to meet these standards shall entitle the Buyer to withhold payment and demand corrective action within seven (7) business days.

3.5 Insurance and Liability: The Supplier shall maintain comprehensive professional liability insurance, marine engineering equipment insurance, and workers' compensation coverage for the duration of this Purchase Order. The minimum liability coverage shall be equivalent to fifty million (50,000,000) XOF. All insurance policies shall be valid within the territory of Senegal and specifically cover operations in the Dakar maritime zone.

3.6 Termination: Either party may terminate this Purchase Order with a written notice of sixty (60) days. In the event of material breach by the Supplier, the Buyer may terminate immediately upon written notice. Upon termination, the Supplier shall ensure an orderly transition of all marine engineering responsibilities and shall return all Buyer property, documents, and access credentials within ten (10) business days.

3.7 Dispute Resolution: Any dispute arising from or in connection with this Purchase Order shall first be subject to good-faith negotiation between the parties. Should negotiation fail, the dispute shall be referred to arbitration in Dakar, Senegal, in accordance with the rules of the Senegalese Commercial Arbitration Court. The language of arbitration shall be French, with English translations provided for all technical marine engineering documentation.

3.8 Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to acts of God, war, civil unrest, government sanctions, or maritime blockades affecting the waters of Senegal Dakar. The affected party shall notify the other within forty-eight (48) hours of the occurrence of such event.

By signing below, both parties acknowledge that they have read, understood, and agree to be bound by all terms, conditions, and specifications set forth in this Purchase Order for the engagement of a Marine Engineer in Senegal Dakar. This Purchase Order shall remain in full force and effect for a period of twelve (12) months from the date of the Marine Engineer's initial deployment, unless renewed or terminated in accordance with the provisions herein.
