Scope of Purchase — Marine Engineer Services in South Korea Seoul

This Purchase Order is issued by Hanyang Maritime Solutions Co., Ltd. (hereinafter referred to as the "Purchaser") to Global Marine Engineering Consultants Ltd. (hereinafter referred to as the "Supplier") for the provision of a qualified Marine Engineer to perform professional engineering services at the Purchaser's operational facility located in South Korea, Seoul. The Marine Engineer shall be responsible for the design oversight, commissioning, and ongoing technical maintenance of marine propulsion systems, auxiliary machinery, and associated mechanical and electrical installations at the Purchaser's port-side engineering yard in Seocho-gu, Seoul, South Korea.

Terms and Conditions
  1. Scope and Location: All services under this Purchase Order shall be performed by the designated Marine Engineer at the Purchaser's facility in Seocho-gu, Seoul, South Korea. The Marine Engineer shall comply with all applicable Korean labor laws, the Korean Maritime Act, and regulations issued by the Korea Maritime and Port Authority (MMA).
  2. Qualifications: The Marine Engineer engaged under this Purchase Order must hold a minimum of a Bachelor's degree in Marine Engineering or Naval Architecture, a valid Class 1 Marine Engineer's Certificate of Competency (CEC) issued by a recognized maritime authority, and a minimum of eight (8) years of progressive experience in marine propulsion and auxiliary systems. The Marine Engineer must be proficient in English and possess working knowledge of Korean for on-site communication in South Korea Seoul.
  3. Delivery and Commencement: The Marine Engineer shall report for duty at the Seoul, South Korea facility no later than 1 August 2025. The Supplier shall ensure that all work permits, E-7 visa documentation, and health clearance certificates required for the Marine Engineer to legally work in South Korea are completed prior to the commencement date.
  4. Payment Schedule: Payment shall be made in three (3) equal installments: 33% upon execution of this Purchase Order, 33% upon the Marine Engineer's successful first-month performance review in Seoul, South Korea, and the remaining 34% upon completion of the twelve-month service period. All payments shall be made via wire transfer to the Supplier's designated bank account in KRW within thirty (30) days of invoice receipt.
  5. Performance Standards: The Marine Engineer shall adhere to the Purchaser's quality management system (ISO 9001:2015 certified) and shall submit weekly progress reports and monthly technical summaries to the Purchaser's Engineering Director in Seoul, South Korea. Any deviation from the agreed scope must be documented in a formal change order signed by both parties.
  6. Intellectual Property: All designs, calculations, reports, and technical documentation produced by the Marine Engineer in the course of performing services under this Purchase Order in South Korea Seoul shall be the exclusive property of the Purchaser. The Supplier and the Marine Engineer grant the Purchaser a perpetual, irrevocable, royalty-free license to use, modify, and reproduce all such deliverables.
  7. Confidentiality: The Supplier and the Marine Engineer agree to maintain strict confidentiality regarding all proprietary information, trade secrets, and operational data of the Purchaser encountered during the performance of this Purchase Order in South Korea Seoul. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
  8. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Purchaser shall pay for all services rendered by the Marine Engineer up to the effective date of termination, less any applicable deductions for incomplete deliverables.
  9. Governing Law and Dispute Resolution: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Korea. Any disputes arising from or in connection with this Purchase Order shall be resolved through binding arbitration administered by the Korean Commercial Arbitration Board (KCAB) in Seoul, South Korea, in the English language.
  10. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government sanctions, or pandemics affecting operations in South Korea Seoul.
Acceptance and Authorization

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the engagement of a Marine Engineer in South Korea Seoul. This Purchase Order constitutes a binding agreement upon countersignature by both authorized representatives.
