1. Description of Purchase – Marine Engineer Services and EquipmentThis Purchase Order is issued by Iberian Maritime Solutions S.L. to procure the professional services of a certified Marine Engineer along with associated technical equipment and support materials. The Marine Engineer shall be engaged to provide comprehensive marine engineering consultancy, vessel maintenance oversight, and technical supervision for the fleet operations based in Spain Madrid. All services rendered under this Purchase Order shall comply with the applicable regulations of the Spanish Maritime Authority (Dirección General de la Marina Mercante) and the European Union Maritime Safety directives as enforced within the jurisdiction of Spain Madrid.

The Marine Engineer shall commence all professional duties no later than 1 September 2025 at the primary operational facility located in Spain Madrid. All equipment, software licences, and documentation listed in this Purchase Order shall be delivered to the Spain Madrid premises within fourteen (14) calendar days of the date of this Purchase Order. The supplier, Atlantic Marine Engineering Group S.A., shall bear full responsibility for the safe and timely delivery of all physical goods to the designated Spain Madrid address. Any delays in the onboarding of the Marine Engineer or the delivery of associated materials shall be subject to the penalty clauses outlined in Section 5 of this Purchase Order.
3. Payment TermsPayment for this Purchase Order shall be made in accordance with the following schedule: thirty percent (30%) of the total amount shall be due upon signature and acceptance of this Purchase Order; fifty percent (50%) shall be payable upon successful completion of the Marine Engineer's first six-month performance review; and the remaining twenty percent (20%) shall be settled upon the final completion of the twelve-month contract term. All payments shall be made via bank transfer to the supplier's designated account in Spain Madrid. Invoices must reference this Purchase Order number (PO-2025-SPM-04782) and shall be submitted in accordance with Spanish commercial invoicing regulations (Ley 58/2003 General Tax Law). Payment terms are net thirty (30) days from the date of invoice receipt.
4. Scope of Marine Engineer ResponsibilitiesThe Marine Engineer engaged under this Purchase Order shall be responsible for the following duties within the Spain Madrid operational base: conducting regular inspections of marine propulsion systems, auxiliary machinery, and electrical installations; preparing and maintaining comprehensive maintenance schedules for all vessels in the fleet; providing technical advisory to the fleet management team; ensuring full compliance with SOLAS, MARPOL, and ISM Code requirements as applicable in Spain Madrid; coordinating with external classification societies and the Spanish Maritime Authority; and producing monthly technical reports for the Purchasing Party's executive board. The Marine Engineer shall report directly to the Procurement Director of Iberian Maritime Solutions S.L. in Spain Madrid.
5. Terms and Conditions- 5.1 This Purchase Order is governed by the laws of the Kingdom of Spain, with specific reference to the commercial regulations applicable in the Community of Madrid, Spain Madrid.
- 5.2 The Marine Engineer shall maintain all professional certifications, including but not limited to the STCW (Standards of Training, Certification and Watchkeeping) endorsements, throughout the duration of this Purchase Order.
- 5.3 The supplier warrants that the Marine Engineer possesses a minimum of ten (10) years of verified experience in marine engineering and holds a valid Class 1 Marine Engineer certificate recognised by the Spanish Maritime Authority.
- 5.4 In the event of non-performance or breach of this Purchase Order, the Purchasing Party reserves the right to terminate the agreement with thirty (30) days' written notice and to claim damages in accordance with Spanish civil law.
- 5.5 All intellectual property, technical reports, and documentation produced by the Marine Engineer during the term of this Purchase Order shall remain the exclusive property of Iberian Maritime Solutions S.L., Spain Madrid.
- 5.6 Disputes arising from this Purchase Order shall be resolved through arbitration in Madrid, Spain, in accordance with the rules of the Madrid Chamber of Commerce.
- 5.7 This Purchase Order shall remain valid for a period of thirty (30) days from the date of issue. Failure to accept within this period shall render this Purchase Order null and void.
- 5.8 The supplier shall comply with all data protection obligations under the General Data Protection Regulation (GDPR) and the Spanish Organic Law 3/2018 regarding the personal data of the Marine Engineer and all personnel in Spain Madrid.
By signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order for the procurement of Marine Engineer services and associated equipment in Spain Madrid. This document constitutes a binding commercial agreement between the Purchasing Party and the Supplier Party.
