The scope of this Purchase Order encompasses the recruitment, assignment, supervision, and ongoing professional support of a certified Marine Engineer who shall be responsible for the maintenance, inspection, and operational oversight of all marine propulsion systems, auxiliary machinery, and associated mechanical and electrical installations at the port terminal in Spain Valencia.
The Buyer requires the services of a Marine Engineer with a minimum of eight (8) years of documented professional experience in marine machinery, including but not limited to diesel engine systems, steam turbine operations, hydraulic systems, and marine electrical installations. The Marine Engineer must hold a valid Class 1 Marine Engineer's Certificate of Competency issued by the Spanish Maritime Administration (Dirección General de la Marina Mercante) and must be registered with the relevant professional college in Spain Valencia.

TOTAL AMOUNT UNDER THIS PURCHASE ORDER: EUR 188,900.00 (One Hundred Eighty-Eight Thousand Nine Hundred Euros)
All prices are exclusive of VAT (IVA). Applicable Spanish Value Added Tax at the current rate of 21% shall be added to the total. The final invoiced amount shall be EUR 228,569.00 inclusive of VAT.
3.1 Commencement and Duration: The services described in this Purchase Order shall commence on 1 July 2025 and shall continue for a period of twelve (12) months, unless terminated earlier in accordance with Clause 3.6. The Marine Engineer shall report for duty at the Buyer's premises in Spain Valencia on the first working day of the commencement period.
3.2 Payment Terms: Payment shall be made in monthly instalments of EUR 12,375.00 (plus applicable VAT) for the Marine Engineer's assignment, with the remaining line items invoiced upon completion of the respective deliverables. Payment is due within thirty (30) calendar days of receipt of a valid invoice. All payments shall be made via bank transfer to the Supplier's designated account in Spain Valencia. Late payments shall accrue interest at the rate established by the Spanish Law on Late Payment in Commercial Transactions (Ley 3/2004).
3.3 Qualifications and Compliance: The Supplier warrants that the Marine Engineer assigned under this Purchase Order shall hold all necessary certifications, licenses, and professional registrations required to perform marine engineering duties in Spain Valencia. The Marine Engineer shall comply with all applicable Spanish labour laws, maritime safety regulations, and the specific operational protocols of the Buyer's facility.
3.4 Insurance and Liability: The Supplier shall maintain comprehensive professional liability insurance with a minimum coverage of EUR 2,000,000 for the duration of this Purchase Order. The Marine Engineer shall be covered under the Supplier's employer's liability insurance in accordance with Spanish social security regulations. The Supplier shall indemnify and hold harmless the Buyer against any claims arising from the negligence or professional misconduct of the Marine Engineer while performing duties in Spain Valencia.
3.5 Intellectual Property and Confidentiality: All technical reports, condition assessments, and operational data generated by the Marine Engineer in the course of this Purchase Order shall be the exclusive property of the Buyer. The Supplier and the Marine Engineer shall maintain strict confidentiality regarding the Buyer's operational procedures, security protocols, and commercial information pertaining to the Spain Valencia facility.
3.6 Termination: Either party may terminate this Purchase Order with a written notice of thirty (30) days. In the event of a material breach by the Supplier, including but not limited to the failure to provide a qualified Marine Engineer or a persistent failure to meet the emergency response obligations, the Buyer may terminate this Purchase Order immediately upon written notice without further liability.
3.7 Governing Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of Spain. Any disputes arising from or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts of Spain Valencia, Valencia, Spain.
By signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order for the provision of Marine Engineer services in Spain Valencia. This Purchase Order constitutes a binding commercial agreement between the Buyer and the Supplier upon execution by both authorized representatives.
