This Purchase Order is issued by Bosphorus Maritime Services Ltd. to formally procure the professional services of a qualified Marine Engineer for the duration of the contract period specified herein. The Marine Engineer shall be engaged to perform comprehensive technical oversight, maintenance planning, and operational advisory services for the fleet of commercial vessels operated by the Buyer within the waters of the Bosphorus Strait, the Sea of Marmara, and the Black Sea approaches to Turkey Istanbul.
The scope of work assigned to the Marine Engineer under this Purchase Order includes, but is not limited to: (a) monthly inspection and condition assessment of main propulsion engines, auxiliary generators, and ballast water treatment systems aboard all vessels registered in Turkey Istanbul; (b) preparation of preventive maintenance schedules compliant with Turkish Maritime Law (Law No. 6550) and International Maritime Organization (IMO) regulations; (c) technical liaison with the Istanbul Port Authority (İstanbul Liman Başkanlığı) regarding vessel certification and seaworthiness documentation; (d) emergency response planning for mechanical failures occurring in the Istanbul maritime corridor; and (e) quarterly reporting to the Buyer's management board on fleet mechanical health and capital expenditure recommendations.
3. CONTRACT DURATION AND COMMENCEMENTThe services described in this Purchase Order shall commence on 1 July 2025 and shall continue for a period of twelve (12) months, concluding on 30 June 2026, unless extended by mutual written agreement of both parties. The Marine Engineer shall report to the Buyer's Istanbul headquarters located in Kadıköy, Turkey Istanbul, on a minimum of four (4) working days per week, with the remaining time allocated to on-vessel inspections at the Buyer's Istanbul shipyard facilities in Ataköy.

Payment shall be made in monthly installments via bank transfer to the Supplier's designated account in Istanbul, Turkey, within fifteen (15) calendar days of receipt of a valid invoice. All payments under this Purchase Order are subject to the financial regulations of the Republic of Turkey and the Central Bank of the Republic of Turkey (TCMB) foreign exchange controls, where applicable.
5. QUALIFICATIONS AND COMPLIANCE REQUIREMENTSThe Marine Engineer engaged under this Purchase Order must hold a valid Class 1 Marine Engineer Certificate of Competency (CoC) issued or recognized by the Turkish Maritime Administration (Denizcilik Genel Müdürlüğü). The engineer must possess a minimum of eight (8) years of documented experience in commercial marine engineering, with at least three (3) years of service in the Istanbul maritime region. All professional liability insurance must be maintained at a minimum coverage of 5,000,000 TRY, with the Buyer named as an additional insured party. The Marine Engineer shall comply with all occupational health and safety regulations enforced by the Istanbul Provincial Directorate of Labor and Employment.
6. TERMINATION AND DEFAULTEither party may terminate this Purchase Order with thirty (30) days' written notice. In the event of material breach by the Supplier or the Marine Engineer, the Buyer reserves the right to terminate immediately and withhold outstanding payments until the breach is remedied. Any disputes arising from this Purchase Order shall be resolved through arbitration in Istanbul, Turkey, in accordance with the rules of the Istanbul Arbitration Institute (ISTAC).
