Scope of Procurement — Marine Engineer ServicesThis Purchase Order is issued by Gulf Maritime Operations LLC for the procurement of qualified Marine Engineer professional services to be rendered at the Buyer's operational facilities and vessel fleet located in United Arab Emirates Abu Dhabi. The Marine Engineer shall be responsible for the design oversight, maintenance planning, regulatory compliance auditing, and technical supervision of all marine propulsion systems, auxiliary machinery, and electrical installations across the Buyer's commercial vessel fleet operating out of Abu Dhabi Port and Khalifa Port. The Marine Engineer must hold a valid Class 1 Marine Engineer Certificate of Competency issued or recognized by the UAE Maritime Safety Administration (MSA) and possess a minimum of ten (10) years of documented experience in commercial marine engineering within the Gulf region.

- Governing Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the federal laws of the United Arab Emirates and the specific commercial regulations applicable in Abu Dhabi. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the Abu Dhabi Courts.
- Marine Engineer Qualifications: The Supplier shall ensure that the assigned Marine Engineer holds a valid Class 1 Certificate of Competency, a current UAE work permit, and a valid residence visa in Abu Dhabi. All professional certifications must be attested by the UAE Ministry of Foreign Affairs and the UAE Maritime Safety Administration prior to commencement of services.
- Commencement and Duration: Services under this Purchase Order shall commence on 01 July 2025 and continue for a period of twelve (12) months, subject to mutual written renewal. The Marine Engineer shall report to the Buyer's designated site at Abu Dhabi Port, Terminal 3, no later than 07:00 GST on the first working day of each month.
- Payment: Invoices shall be submitted monthly by the 5th business day. Payment shall be made via bank transfer to the Supplier's designated account in Abu Dhabi within thirty (30) calendar days of invoice receipt. All amounts are denominated in United Arab Emirates Dirhams (AED). Late payments shall attract interest at the rate of 1.5% per month as per UAE commercial practice.
- Health, Safety, and Environment (HSE): The Marine Engineer shall comply with all HSE regulations enforced by the Abu Dhabi Department of Energy (DoE) and the Abu Dhabi Ports Company. The Supplier shall provide a valid HSE induction certificate and ensure the Marine Engineer carries appropriate personal protective equipment at all times while on the Buyer's premises.
- Insurance and Indemnity: The Supplier shall maintain professional indemnity insurance with a minimum coverage of AED 5,000,000 and public liability insurance of AED 2,000,000, valid throughout the term of this Purchase Order. Certificates of insurance shall be provided to the Buyer prior to commencement.
- Confidentiality: The Marine Engineer shall treat all technical drawings, operational data, vessel specifications, and commercial information of the Buyer as strictly confidential. This obligation shall survive the termination of this Purchase Order for a period of three (3) years.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of material breach, the non-breaching party may terminate immediately upon written notice. Termination shall not affect accrued payment obligations.
- Force Majeure: Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, including but not limited to acts of God, war, terrorism, or government-imposed restrictions in the United Arab Emirates Abu Dhabi region.
- Anti-Bribery and Compliance: Both parties warrant compliance with the UAE Anti-Corruption Law (Federal Decree-Law No. 20 of 2016) and all applicable anti-bribery regulations in Abu Dhabi. Any violation shall constitute grounds for immediate termination of this Purchase Order.
