2. Description of Procurement — Marine Engineer Services

This Purchase Order is issued by Gulf Maritime Services LLC (hereinafter referred to as the "Buyer") to Emirates Marine Technical Solutions FZE (hereinafter referred to as the "Supplier") for the recruitment, placement, and ongoing provision of a qualified Marine Engineer to operate within the maritime and port infrastructure sector in United Arab Emirates Dubai. The Marine Engineer shall be responsible for the design, installation, maintenance, and repair of marine propulsion systems, auxiliary machinery, electrical and electronic equipment, and HVAC systems aboard vessels and floating structures registered or operating in the waters of the United Arab Emirates Dubai port authority jurisdiction.

3. Scope of Work for the Marine Engineer

The Marine Engineer engaged under this Purchase Order shall perform the following duties within the operational boundaries of United Arab Emirates Dubai:

  1. Oversee the operation and maintenance of main and auxiliary engines, boilers, and steam generation systems on all vessels under the Buyer's fleet operating out of Dubai Port and Jebel Ali Port.
  2. Conduct scheduled preventive maintenance, condition monitoring, and corrective repairs in compliance with International Maritime Organization (IMO) standards and the United Arab Emirates Maritime Authority regulations.
  3. Manage the marine electrical plant, including switchboards, generators, automation systems, and navigation electronics, ensuring full compliance with SOLAS and MARPOL conventions as enforced in United Arab Emirates Dubai waters.
  4. Prepare and maintain technical logs, maintenance schedules, and statutory inspection documentation required by the Dubai Maritime City Authority and the Federal Transport Authority of the United Arab Emirates.
  5. Supervise and train junior engineering personnel, ensuring knowledge transfer and adherence to safety protocols specific to the United Arab Emirates Dubai maritime environment.
  6. Coordinate with shore-based technical teams, classification societies, and port authorities in United Arab Emirates Dubai to ensure uninterrupted vessel readiness and regulatory compliance.
4. Terms and Conditions
  1. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the United Arab Emirates, specifically the Federal Commercial Transactions Law and the Dubai DIFC legal framework where applicable.
  2. Payment Terms: The Buyer shall remit payment within thirty (30) calendar days of receipt of a valid tax invoice from the Supplier. All payments shall be made in United Arab Emirates Dirhams (AED) via bank transfer to the Supplier's designated account in United Arab Emirates Dubai.
  3. Commencement: The Marine Engineer shall report for duty no later than 30 August 2025 at the Buyer's operational base in Jumeirah Industrial Estate, Dubai, United Arab Emirates.
  4. Qualifications: The Marine Engineer must hold a valid Certificate of Competency (COC) as a Second Engineer (Unlimited) issued by a recognized maritime authority, a valid seafarer's passport, and a clean medical certificate issued by an approved medical center in United Arab Emirates Dubai.
  5. Termination: Either party may terminate this Purchase Order with sixty (60) days' written notice. In the event of termination, the Supplier shall facilitate the orderly transition of the Marine Engineer's duties and return all company property.
  6. Confidentiality: The Supplier and the Marine Engineer shall maintain strict confidentiality regarding the Buyer's operational data, vessel specifications, and commercial information. This obligation survives the termination of this Purchase Order for a period of three (3) years.
  7. Dispute Resolution: Any dispute arising from this Purchase Order shall be resolved through arbitration in Dubai, United Arab Emirates, in accordance with the rules of the Dubai International Arbitration Centre (DIAC).
  8. Compliance: The Supplier warrants that the Marine Engineer shall comply with all labor laws of the United Arab Emirates, including the Federal Decree-Law No. 33 of 2021 on the Regulation of Labour Relations, and all applicable regulations of the Dubai Municipality and the Ministry of Human Resources and Emiratisation.
5. Acceptance and Authorization

By signing below, both parties acknowledge and agree to the terms set forth in this Purchase Order for the procurement of Marine Engineer services in United Arab Emirates Dubai. This document constitutes a binding commercial agreement upon execution by both authorized representatives.
