This Purchase Order is issued by Northwest Maritime Solutions Ltd. to Mersey Marine Engineering & Consulting Ltd. for the engagement of a qualified Marine Engineer to provide specialist technical services, maintenance oversight, and operational support for the buyer's fleet of commercial vessels currently berthed and operated within the port facilities of United Kingdom Manchester, specifically at the Manchester Ship Canal and Salford Quays maritime infrastructure. The Marine Engineer shall be responsible for the inspection, diagnosis, repair coordination, and compliance verification of all marine propulsion systems, auxiliary machinery, electrical installations, and safety-critical equipment aboard the vessels listed in Schedule A of this Purchase Order.

  1. Acceptance: This Purchase Order shall be deemed accepted upon written confirmation by the Seller within five (5) working days of the date of issue. Failure to confirm within this period shall render this Purchase Order null and void.
  2. Commencement: The Marine Engineer shall report for duty at the designated United Kingdom Manchester site no later than 08:00 hours on 1 July 2025. The Seller shall ensure the Marine Engineer holds a valid MCA Certificate of Competency and a current medical fitness certificate prior to commencement.
  3. Payment Terms: Payment shall be made within thirty (30) days of receipt of a valid tax invoice. Invoices shall be submitted to the buyer's accounts department at the Manchester, United Kingdom address stated above. Late payments shall attract interest at the rate of 4% per annum above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.
  4. Performance Standards: The Marine Engineer shall comply with all applicable regulations issued by the Maritime and Coastguard Agency (MCA), the International Maritime Organization (IMO), and the local port authority governing United Kingdom Manchester waters. All work shall be performed in accordance with BS EN ISO 19001 quality management standards.
  5. Insurance: The Seller shall maintain, at its own cost, professional indemnity insurance of no less than £5,000,000 and public liability insurance of no less than £10,000,000 for the duration of this Purchase Order. Certificates of insurance shall be provided to the Buyer prior to commencement.
  6. Confidentiality: The Marine Engineer shall treat all technical drawings, operational data, vessel specifications, and commercial information encountered during the course of this engagement as strictly confidential. This obligation shall survive the termination of this Purchase Order for a period of three (3) years.
  7. Termination: Either party may terminate this Purchase Order by providing fourteen (14) days' written notice. In the event of termination, the Buyer shall pay for all services rendered and materials supplied up to the date of termination.
  8. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of Manchester, United Kingdom.
  9. Health and Safety: The Seller and the assigned Marine Engineer shall comply with the Health and Safety at Work etc. Act 1974 and all associated regulations. The Seller shall provide a site-specific risk assessment for all United Kingdom Manchester locations prior to the first day of work.
NOTE: This Purchase Order is specific to the engagement of a Marine Engineer for services rendered at and around the port and canal infrastructure of United Kingdom Manchester. All site access, vessel boarding, and operational activities shall be coordinated through the Buyer's Port Operations Manager based at Salford Quays, Manchester, M50 3GA. The Marine Engineer shall adhere to all site-specific safety protocols and shall carry valid personal protective equipment (PPE) at all times while on site.
