This Purchase Order is issued by Tashkent Maritime Logistics & Engineering Co., Ltd. (hereinafter referred to as the "Buyer") to Global Marine Engineering Solutions International FZE (hereinafter referred to as the "Supplier") for the procurement of specialized Marine Engineer professional services, technical consultancy, and equipment oversight to be performed within the jurisdiction of Uzbekistan Tashkent and its surrounding industrial and port infrastructure zones.
The Marine Engineer engaged under this Purchase Order shall be responsible for the design review, installation supervision, commissioning, and ongoing maintenance of marine propulsion systems, ballast water treatment units, and auxiliary power generation equipment at the Tashkent Inland Waterway Terminal and the Amu Darya River Port Facility. The Marine Engineer must hold a valid Class 1 Marine Engineer Certificate of Competency issued by a recognized maritime authority and possess a minimum of ten (10) years of documented experience in commercial vessel engineering and port infrastructure systems.

4.1 Place of Performance: All services rendered under this Purchase Order shall be executed at the designated facilities located in Uzbekistan Tashkent, specifically at the Tashkent Inland Waterway Terminal (Plot 7, Chushtan Industrial Zone) and the Amu Darya River Port Engineering Complex. The Marine Engineer shall maintain a primary workstation at the Buyer's Tashkent headquarters at 142 Amir Temur Avenue.
4.2 Commencement and Duration: The Marine Engineer engagement shall commence on 1 August 2025 and shall continue for a period of twelve (12) months, subject to renewal by mutual written agreement. The Purchase Order becomes effective upon signature by both parties and receipt of the initial payment installment.
4.3 Payment Terms: Payment shall be made in Uzbekistani Soms (UZS) via bank transfer to the Supplier's designated account at Tashkent International Bank. An initial advance payment of thirty percent (30%) of the total Purchase Order value shall be due within ten (10) business days of contract execution. The remaining seventy percent (70%) shall be disbursed in quarterly installments, contingent upon satisfactory completion of milestones as verified by the Buyer's project management team in Tashkent.
4.4 Regulatory Compliance: The Supplier and the assigned Marine Engineer shall comply with all applicable laws and regulations of the Republic of Uzbekistan, including but not limited to the Uzbekistan Maritime Code, the Labor Code of the Republic of Uzbekistan, and all local ordinances governing foreign technical specialists operating in Tashkent. Work permits, visa documentation, and professional registration with the Uzbekistan Chamber of Commerce and Industry shall be the sole responsibility of the Supplier.
4.5 Intellectual Property: All technical reports, design modifications, engineering drawings, and compliance documentation produced by the Marine Engineer in the course of fulfilling this Purchase Order shall become the exclusive property of the Buyer. The Supplier shall not reproduce, distribute, or utilize such materials for any third-party engagement without prior written consent from Tashkent Maritime Logistics & Engineering Co., Ltd.
4.6 Insurance and Liability: The Supplier shall maintain comprehensive professional liability insurance with a minimum coverage of 500,000,000 UZS, valid throughout the term of this Purchase Order. The Marine Engineer shall be covered under the Supplier's occupational health and safety insurance policy, compliant with Uzbekistan Tashkent municipal labor safety regulations.
4.7 Termination: Either party may terminate this Purchase Order with a written notice of thirty (30) days. In the event of termination for convenience, the Buyer shall compensate the Supplier for all services rendered up to the termination date. In the event of termination for cause (material breach, failure to meet performance standards, or regulatory non-compliance), no further payment shall be due beyond the value of completed and accepted work.
4.8 Dispute Resolution: Any disputes arising from or in connection with this Purchase Order shall first be subject to good-faith negotiation between the parties in Tashkent. Should negotiation fail within thirty (30) days, the dispute shall be referred to arbitration under the rules of the International Arbitration Center of the Uzbekistan Chamber of Commerce and Industry, seated in Tashkent, Uzbekistan. The language of arbitration shall be English.
4.9 Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government sanctions, epidemics, or war, provided that the affected party notifies the other in writing within five (5) business days of the occurrence.
5. Acceptance and AuthorizationBy signing below, both parties acknowledge that this Purchase Order constitutes a binding agreement for the procurement of Marine Engineer services in Uzbekistan Tashkent. All terms, conditions, and specifications outlined herein are accepted in full. This document, together with any attached annexes and technical specifications, forms the complete agreement between the parties.
