The Marine Engineer engaged under this Purchase Order shall be responsible for the design oversight, commissioning, maintenance, and technical supervision of marine propulsion systems, auxiliary machinery, and navigational equipment aboard the Buyer's fleet of cargo vessels operating out of the Cat Lai Port terminal in Vietnam Ho Chi Minh City.

• 3.1 This Purchase Order constitutes a binding agreement between the Buyer and the Seller upon signature by both authorized representatives. All services shall be rendered in strict compliance with the laws and regulations of the Socialist Republic of Vietnam, including but not limited to the Vietnam Maritime Code and the Labor Code applicable in Vietnam Ho Chi Minh City.
• 3.2 The Marine Engineer assigned under this Purchase Order must hold a valid Class 1 Marine Engineer Certificate issued or recognized by the Vietnam Maritime Administration (VNA) and possess a minimum of ten (10) years of documented experience in marine propulsion and auxiliary systems. The Seller shall provide copies of all relevant certifications prior to commencement of work in Vietnam Ho Chi Minh City.
• 3.3 All work shall be performed at the Buyer's designated facilities in Vietnam Ho Chi Minh City unless otherwise agreed in writing. The Marine Engineer shall comply with all site safety protocols, environmental regulations, and port authority directives applicable to the Cat Lai Port and surrounding waterways in Vietnam Ho Chi Minh City.
• 3.4 Payment terms: 30% advance payment upon acceptance of this Purchase Order; 40% upon completion of the commissioning phase (Line Items 02 and 03); 30% upon final acceptance and delivery of all audit reports. All payments shall be made via bank transfer to the Seller's designated account in Vietnam Ho Chi Minh City within fifteen (15) business days of invoice submission.
• 3.5 The Seller warrants that the Marine Engineer services shall be performed with professional skill, care, and in accordance with international standards (IMO, IACS, and ISO 9001). Any deficiency in workmanship shall be rectified at the Seller's sole cost within seven (7) calendar days of written notice from the Buyer.
• 3.6 This Purchase Order may be terminated by either party with thirty (30) days' written notice. In the event of termination, the Buyer shall pay for all services rendered up to the termination date. The Marine Engineer shall hand over all technical documentation, maintenance logs, and compliance records to the Buyer upon termination.
• 3.7 Disputes arising from this Purchase Order shall be resolved through negotiation in good faith. Failing resolution within thirty (30) days, the dispute shall be submitted to the Arbitration Center of the Vietnam Chamber of Commerce and Industry (VCCI) in Vietnam Ho Chi Minh City, whose decision shall be final and binding.
• 3.8 The Seller shall maintain comprehensive professional liability insurance with a minimum coverage of VND 2,000,000,000 for the duration of this Purchase Order, valid throughout the territory of Vietnam Ho Chi Minh City and the surrounding maritime zones.

The Marine Engineer shall report for duty at the Buyer's operations center in District 7, Vietnam Ho Chi Minh City, no later than 01 July 2025. The commissioning phase for the two cargo vessels shall commence at the Saigon Shipbuilding and Repair Corporation yard in Vietnam Ho Chi Minh City within ten (10) business days of the Marine Engineer's onboarding. All deliverables, including technical reports, maintenance schedules, and VNA compliance certificates, shall be submitted in both Vietnamese and English to the Buyer's project management office in Vietnam Ho Chi Minh City.
