This Purchase Order is issued by Meridian Digital Solutions Pty Ltd (hereinafter referred to as the "Purchaser") to Apex Talent Partners Australia (hereinafter referred to as the "Supplier") for the recruitment, placement, and ongoing professional engagement of a Marketing Manager to be based and operating within Australia Melbourne. The Marketing Manager shall be responsible for developing, executing, and overseeing all marketing strategies, brand campaigns, digital advertising initiatives, and market research programmes for the Purchaser's operations across the Melbourne metropolitan region and broader Victorian market.

The Marketing Manager engaged under this Purchase Order shall perform the following duties within the Australia Melbourne operational framework:

Develop and implement a comprehensive annual marketing strategy aligned with the Purchaser's corporate objectives for the Melbourne and Victorian markets.
Manage a marketing budget of up to AUD $250,000 per annum, ensuring optimal allocation across digital, print, event, and traditional media channels available in Australia Melbourne.
Lead a team of no fewer than four (4) marketing specialists, providing mentorship, performance management, and career development in accordance with Australian workplace standards.
Oversee all brand identity, public relations, and corporate communications activities, ensuring consistency with the Purchaser's brand guidelines across all Melbourne-based operations.
Conduct regular market research and competitive analysis specific to the Melbourne metropolitan area, identifying growth opportunities and emerging consumer trends.
Coordinate with the Sales, Product, and Customer Service departments to ensure integrated marketing communications across all business units.
Ensure full compliance with the Australian Privacy Act 1988, the Australian Consumer Law, and all relevant Victorian state regulations governing marketing and advertising practices.
Report monthly to the Chief Executive Officer and quarterly to the Board of Directors on marketing performance, ROI, and strategic recommendations.

Payment for Line Item 01 (Recruitment Fee) shall be due within fourteen (14) calendar days of the successful placement and commencement of the Marketing Manager in Melbourne.
Payment for Line Item 02 (Monthly Retainer) shall be invoiced on the last business day of each calendar month and is due within thirty (30) days of invoice receipt.
Payment for Line Item 03 (Onboarding Package) shall be due within seven (7) business days of the Marketing Manager's first day of employment in Australia Melbourne.
Payment for Line Item 04 (Quarterly Reviews) shall be invoiced within five (5) business days of each completed session and is due within twenty-one (21) days.
All payments shall be made via Electronic Funds Transfer (EFT) to the Supplier's nominated Australian bank account. All amounts are quoted in Australian Dollars (AUD) and include Goods and Services Tax (GST) at the current rate of 10%.
Late payments shall attract interest at the rate of 2% per month or the maximum rate permitted under the Victorian Interest on Late Payments of Trade Debts Act 2003, whichever is lower.

This Purchase Order is governed by and shall be construed in accordance with the laws of the State of Victoria, Australia, and the Commonwealth of Australia.
The Marketing Manager shall be engaged in full-time capacity (38 hours per week) in compliance with the Marketing and Communications Industry Award 2020 and all applicable provisions of the Fair Work Act 2009 (Cth).
The Supplier warrants that the Marketing Manager placed under this Purchase Order shall possess a minimum of seven (7) years of progressive marketing experience, with at least three (3) years in a senior management role within the Australian market, preferably with demonstrated experience in the Melbourne commercial sector.
The Supplier shall provide a minimum of ninety (90) days' guarantee period from the commencement date. Should the Marketing Manager resign or be terminated for cause within this period, the Supplier shall provide a replacement at no additional cost to the Purchaser.
Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, all outstanding invoices for services rendered up to the termination date shall remain payable.
The Marketing Manager shall be required to work primarily from the Purchaser's Melbourne CBD office at 350 Collins Street, with up to two (2) days per week of remote work permitted, subject to operational requirements.
All intellectual property, marketing materials, strategies, and client data developed by the Marketing Manager during the term of this Purchase Order shall be the sole property of the Purchaser.
This Purchase Order does not create a partnership, joint venture, or agency relationship between the Purchaser and the Supplier.
Any disputes arising from this Purchase Order shall be resolved through mediation in Melbourne, Victoria, in accordance with the Victorian Commercial Arbitration Act 2011, before proceeding to the Victorian Civil and Administrative Tribunal (VCAT) or the Supreme Court of Victoria.

By signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order for the engagement of a Marketing Manager in Australia Melbourne. This document constitutes a binding agreement upon execution by both authorised representatives.
