This Purchase Order is issued by Meridian Strategic Communications S.A. (hereinafter referred to as the "Buyer") to Brussels Executive Talent Partners SRL (hereinafter referred to as the "Supplier") for the recruitment, placement, and ongoing professional management of a Marketing Manager position within the Buyer's Brussels, Belgium operations. The Marketing Manager shall be responsible for the strategic planning, execution, and oversight of all marketing initiatives, brand development campaigns, digital marketing strategies, market research programmes, and stakeholder communications across the Buyer's European and international client portfolio. The Marketing Manager will report directly to the Chief Executive Officer and will operate from the Buyer's principal office located in Belgium Brussels, ensuring full compliance with all local, regional, and federal Belgian employment and commercial regulations.

- Payment Terms: The Buyer shall remit payment within thirty (30) calendar days of receipt of a valid invoice from the Supplier. All payments shall be made via bank transfer to the Supplier's designated account in Belgium Brussels. Late payments shall accrue interest at the rate prescribed by the Belgian Code of Economic Law.
- Commencement and Delivery: The Marketing Manager shall be fully integrated and operational at the Buyer's Brussels office no later than 01 September 2025. The Supplier guarantees that the Marketing Manager will have completed all onboarding procedures, Belgian work permit validations (if applicable), and statutory registration with the relevant Brussels authorities prior to this date.
- Compliance with Belgian Law: All services rendered under this Purchase Order shall comply with the Belgian Employment Contracts Act (Loi du 3 juillet 1978), the Belgian Code of Companies and Associations, and all applicable regulations of the Brussels-Capital Region. The Supplier warrants that the Marketing Manager's engagement will not violate any Belgian anti-discrimination, working hours, or occupational health and safety legislation.
- Confidentiality and Data Protection: Both parties shall adhere to the General Data Protection Regulation (GDPR) as implemented in Belgian law. All personal data of the Marketing Manager shall be processed in accordance with the provisions of the Belgian Data Protection Act and the authority of the Belgian Data Protection Authority (Autorité de protection des données).
- Termination: Either party may terminate this Purchase Order with a written notice period of sixty (60) days. In the event of termination, the Buyer shall be liable for all services rendered up to the effective date of termination, including the pro-rata compensation of the Marketing Manager as stipulated under Belgian employment law.
- Dispute Resolution: Any dispute arising from or in connection with this Purchase Order shall be submitted to the competent commercial court of Brussels, Belgium. The parties agree that the language of the proceedings shall be French or Dutch, in accordance with the linguistic regulations of the Brussels-Capital Region.
- Force Majeure: Neither party shall be held liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to acts of government, natural disasters, or public health emergencies affecting the Belgium Brussels region.
- Validity: This Purchase Order shall remain valid for a period of ninety (90) days from the date of issue. If the Supplier does not accept this Purchase Order within the validity period, the Buyer reserves the right to withdraw or modify the terms herein.
