This Purchase Order is issued by Global Horizon Communications S.A. to formally procure the services of a qualified Marketing Manager to be deployed and operational within the Brazil Brasília metropolitan area. The purpose of this procurement is to secure a senior-level marketing professional who will oversee all brand strategy, digital marketing campaigns, market research, and consumer engagement initiatives for our Brazil Brasília regional office. The Marketing Manager shall report directly to the Regional Director of Latin America and will be responsible for executing the annual marketing plan aligned with corporate objectives established for the Brazil Brasília market.

The Marketing Manager engaged under this Purchase Order shall perform the following duties within the Brazil Brasília operational base:

The Supplier shall ensure that the Marketing Manager candidate is identified, interviewed, and formally offered the position no later than twenty (20) business days from the date of this Purchase Order. The Marketing Manager shall commence active duties at the Global Horizon Communications S.A. office located in Brazil Brasília no later than July 15, 2025. All onboarding procedures, including issuance of corporate credentials, access to marketing platforms, and introduction to the Brazil Brasília team, shall be completed within the first ten (10) business days of commencement.

Payment for the services described in this Purchase Order shall be made in accordance with the following schedule:

Forty percent (40%) of the total contract value shall be due upon successful placement and commencement of the Marketing Manager in Brazil Brasília. The remaining sixty percent (60%) shall be paid in three equal quarterly installments, due on the last business day of each quarter, contingent upon satisfactory performance evaluations. All payments shall be made via bank transfer (TED/PIX) to the account designated by the Supplier. Late payments shall incur a penalty of two percent (2%) per month, in accordance with Brazilian commercial law.

This Purchase Order constitutes a binding agreement between the Buyer and the Supplier for the procurement of Marketing Manager services exclusively for operations in Brazil Brasília, Federal District.
The Marketing Manager shall be subject to a non-disclosure agreement (NDA) and a non-compete clause valid for twelve (12) months following the termination of the engagement, specifically covering the Brazil Brasília market and its surrounding metropolitan region.
The Supplier guarantees that the Marketing Manager shall possess a valid work permit or Brazilian citizenship, full fluency in Portuguese, and professional proficiency in English, as required for the Brazil Brasília operational environment.
Any modification to the scope, duration, or financial terms of this Purchase Order must be executed in writing and signed by authorized representatives of both parties.
The Supplier shall maintain all mandatory insurance coverage, including employer's liability insurance (Seguro de Vida em Grupo) and compliance with the Brazilian Social Security (INSS) contributions for the Marketing Manager position.
In the event of early termination by the Buyer without cause, a termination fee equal to thirty percent (30%) of the remaining contract value shall be payable to the Supplier.
All disputes arising from this Purchase Order shall be resolved through arbitration in Brazil Brasília, in accordance with the rules of the Brazilian Arbitration Association (CAM-CCBC).
This Purchase Order is governed by the laws of the Federative Republic of Brazil, with specific application of the Civil Code and the Consolidation of Labor Laws (CLT) as they pertain to the Brazil Brasília jurisdiction.

This Purchase Order is valid for acceptance within fifteen (15) calendar days from the date of issue. The Supplier's acceptance shall be confirmed by countersigning this document and returning a copy to the Buyer's procurement department in Brazil Brasília. Failure to accept within the stipulated period shall render this Purchase Order null and void without further notice.
