This Purchase Order is issued by Apex Continental Holdings Ltd. (hereinafter referred to as the "Buyer"), a duly registered company operating in Lagos, Nigeria, to procure the professional services of a qualified and experienced Marketing Manager through the vendor Strategic Talent Solutions Nigeria Ltd. (hereinafter referred to as the "Vendor"). The Marketing Manager shall be deployed to the Buyer's headquarters located in Victoria Island, Lagos, Nigeria, and shall be responsible for the overall strategic planning, execution, and management of all marketing operations across the Buyer's product lines and service offerings within the Nigerian market and select West African territories.

2.1 This Purchase Order constitutes a binding agreement between the Buyer and the Vendor for the provision of the Marketing Manager services as described herein. All terms are governed by the laws of the Federal Republic of Nigeria, with jurisdiction vested in the courts of Lagos State.
2.2 The Vendor shall ensure that the Marketing Manager engaged possesses a minimum of a Bachelor's degree in Marketing, Business Administration, or a related discipline from a recognized Nigerian or international university, and a minimum of eight (8) years of progressive experience in marketing leadership roles within Nigeria or comparable emerging markets.
2.3 Payment shall be made on a monthly basis within fourteen (14) calendar days of receipt of a valid invoice from the Vendor. Payment shall be processed via bank transfer to the Vendor's designated account domiciled in a commercial bank in Lagos, Nigeria. All payments are subject to applicable Nigerian tax withholdings, including Pay As You Earn (PAYE) and Value Added Tax (VAT) as prescribed by the Federal Inland Revenue Service (FIRS).
2.4 The Marketing Manager shall report directly to the Chief Executive Officer of Apex Continental Holdings Ltd. and shall be required to be physically present at the Buyer's office in Victoria Island, Lagos, Nigeria, for a minimum of five (5) working days per week, Monday through Friday, between the hours of 8:00 AM and 5:30 PM West Africa Time (WAT).
2.5 The Vendor shall be responsible for all statutory employer obligations in Nigeria, including but not limited to pension contributions (Pension Contribution Act 2014), National Health Insurance contributions, and any other statutory deductions applicable to employees in Lagos, Nigeria.
2.6 Either party may terminate this Purchase Order with a written notice of ninety (90) days. In the event of termination, the Buyer shall be liable for all services rendered up to the effective date of termination, and the Vendor shall ensure an orderly transition of all marketing assets, client relationships, and ongoing campaigns.
2.7 The Marketing Manager shall be bound by a strict confidentiality and non-disclosure agreement covering all proprietary information, trade secrets, customer data, and strategic plans of the Buyer. Breach of confidentiality shall attract liquidated damages of ₦5,000,000 (Five Million Naira) in addition to any further legal remedies available under Nigerian law.
2.8 All marketing materials, campaigns, brand assets, and intellectual property developed by the Marketing Manager during the term of this Purchase Order shall be the sole and exclusive property of Apex Continental Holdings Ltd.
2.9 The Vendor warrants that the Marketing Manager shall not be engaged in any competing business or consultancy arrangement during the term of this Purchase Order and for a period of twelve (12) months following its expiration.
3. Acceptance and AuthorizationBy signing below, both parties acknowledge and accept all terms, conditions, and obligations set forth in this Purchase Order for the engagement of the Marketing Manager in Lagos, Nigeria. This document is executed in duplicate, with each party retaining one (1) original copy.
