1. Scope of Engagement: This Purchase Order is issued by East African Corporate Solutions Ltd. (hereinafter "the Buyer") to TalentBridge Executive Recruitment (Uganda) Ltd. (hereinafter "the Vendor") for the procurement of a senior Marketing Manager to be based at the Buyer's principal office in Uganda Kampala. The Marketing Manager shall be responsible for developing and executing the company's marketing strategy, managing brand presence across East Africa, leading a team of no fewer than six (6) marketing specialists, and reporting directly to the Chief Executive Officer.

2. Payment Terms: The Vendor shall invoice the Buyer in accordance with the following schedule: fifty percent (50%) of the placement fee (Line Item 1) shall be due upon successful signing of the employment contract by the Marketing Manager; the remaining fifty percent (50%) shall be due upon completion of the ninety-day probationary period. Monthly retainers (Line Item 2) shall be invoiced on the first business day of each month and are payable within fourteen (14) calendar days of receipt of a valid invoice. All payments shall be made via bank transfer to the Vendor's designated account at Stanbic Bank Uganda, Kampala Branch.

3. Compliance and Regulatory Obligations: The Vendor warrants that the Marketing Manager placed under this Purchase Order shall be fully compliant with all applicable Ugandan labour laws, including the Employment Act (Cap 265), the National Social Security Fund (NSSF) Act, and the Uganda Revenue Authority (URA) tax regulations. The Vendor shall ensure that all background checks, including police clearance from the Uganda Police Force and academic verification from relevant institutions in Uganda Kampala or internationally, are completed prior to commencement.

4. Commencement and Delivery: The Marketing Manager shall report for duty at the Buyer's Uganda Kampala headquarters no later than 01 July 2025. The Vendor shall provide a detailed onboarding schedule at least seven (7) business days prior to the commencement date. Any delay in delivery beyond the stipulated date shall attract a penalty of two percent (2%) of the total Purchase Order value per week of delay, capped at ten percent (10%).

5. Confidentiality and Data Protection: Both parties shall adhere to the Uganda Data Protection and Privacy Act (2019) in handling all personal data related to the Marketing Manager candidate. All candidate information, interview records, and assessment results obtained during the recruitment process under this Purchase Order shall be treated as strictly confidential and shall not be disclosed to any third party without written consent.

6. Dispute Resolution: Any dispute arising from or in connection with this Purchase Order shall first be subject to good-faith negotiation between the parties. Should negotiation fail within thirty (30) days, the dispute shall be referred to arbitration in Uganda Kampala in accordance with the Arbitration Act (Cap 72) of the Laws of Uganda. The language of arbitration shall be English.

7. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Uganda. The courts of Uganda Kampala shall have exclusive jurisdiction over any matters not resolved through arbitration.

8. Validity: This Purchase Order shall remain valid for a period of sixty (60) days from the date of issue. If the Vendor does not accept this Purchase Order within the validity period, the Buyer reserves the right to issue a revised Purchase Order or procure the Marketing Manager services from an alternative vendor in Uganda Kampala.
