- This Purchase Order constitutes a binding agreement between the Buyer and the Supplier upon signature by both parties. All services described herein shall be rendered in accordance with the laws of the Republic of Zimbabwe, including the Labour Act [Chapter 28:01] and the Zimbabwe Revenue Authority (ZIMRA) tax regulations applicable in Zimbabwe Harare.
- The Supplier shall ensure that the appointed Marketing Manager possesses a minimum of seven (7) years of progressive marketing experience, a recognized degree in Marketing, Business Administration, or a related discipline, and demonstrable expertise in digital marketing, brand management, and consumer analytics relevant to the Zimbabwean market.
- All deliverables, including the Marketing Manager's onboarding, shall be completed no later than 01 August 2025. Failure to meet this deadline shall entitle the Buyer to a penalty of 2% of the total Purchase Order value per week of delay, capped at 10%.
- Payment shall be made via electronic funds transfer (EFT) to the Supplier's designated bank account in Harare within thirty (30) calendar days of receipt of a valid tax invoice. The Buyer reserves the right to withhold payment pending satisfactory completion of all line items.
- The Marketing Manager shall be subject to a standard Zimbabwean employment contract with a probationary period of six (6) months. The Supplier's liability under this Purchase Order is limited to the recruitment and onboarding phase; ongoing employment terms are governed separately by the Buyer's HR policies.
- All intellectual property, marketing strategies, consumer data, and brand assets developed by the Marketing Manager during the engagement shall be the sole property of Zimbabwe Harare Business Solutions (Pvt) Ltd.
- This Purchase Order is subject to the general terms and conditions of the Buyer, which are incorporated by reference. In the event of any dispute, the parties agree to first attempt resolution through mediation in Harare, Zimbabwe, before resorting to the courts of competent jurisdiction.
- The Supplier warrants that all services provided under this Purchase Order shall be performed in a professional and workmanlike manner, in compliance with all applicable Zimbabwean labor, tax, and data protection laws, including the Data Protection Act [Chapter 11:12].
- Either party may terminate this Purchase Order with fourteen (14) days' written notice in the event of material breach by the other party, provided that all work completed up to the date of termination shall be paid for at the rates specified herein.
Acceptance of the Marketing Manager's onboarding and all associated deliverables shall be confirmed in writing by the Buyer's Human Resources Director within five (5) business days of the completion date. The Buyer shall notify the Supplier in writing of any deficiencies, and the Supplier shall have ten (10) business days to rectify such deficiencies at no additional cost. All physical materials, including the Marketing Manager's workstation equipment and software installations, shall be delivered to the Buyer's premises at 14 Samora Machel Avenue, Harare, Zimbabwe.
