This Purchase Order is issued by Constructora Andina del Pacífico SpA to Mason Construction & Stoneworks SpA (hereinafter referred to as "Mason") for the supply of masonry materials, specialized stonework, and related construction services to be delivered and executed at the residential development project "Residencial Cerro Manquehue, Phase II" located in the commune of Las Condes, Chile Santiago. This Purchase Order constitutes a binding agreement between both parties upon acceptance and signature by the supplier. All materials and services referenced herein must comply with the Chilean National Building Code (Código de la Construcción) and the applicable standards issued by the Instituto Nacional de Normalización (INN) for the region of Chile Santiago.

All materials listed in this Purchase Order shall be delivered to the project site at Residencial Cerro Manquehue, Phase II, Av. Presidente Kennedy 5200, Las Condes, Chile Santiago. Mason shall coordinate delivery schedules with the buyer's site supervisor no fewer than five (5) business days in advance. The masonry execution phase is scheduled to commence on 1 July 2025 and shall be completed within 45 working days. Mason is responsible for all transportation, loading, unloading, and on-site storage of materials within the Chile Santiago metropolitan area. Any delays attributable to Mason shall incur a penalty of 0.5% of the affected line item value per calendar day of delay, up to a maximum of 10%.
7. TERMS AND CONDITIONS- This Purchase Order is governed by the Civil Code of the Republic of Chile and the applicable commercial regulations of Chile Santiago. Any disputes shall be resolved by the competent courts of the Santiago Metropolitan Region.
- Mason warrants that all materials supplied are new, of the highest quality, and conform to the specifications outlined in this Purchase Order and the project technical drawings approved by the buyer.
- Payment shall be made via bank transfer (transferencia bancaria) to the account designated by Mason, within thirty (30) calendar days from the date of receipt of a valid Chilean electronic invoice (factura electrónica) issued through the SII (Servicio de Impuestos Internos) platform.
- Mason shall maintain valid workers' compensation insurance (Seguro de Accidentes del Trabajo y Enfermedades Profesionales) and all required permits for masonry work in Chile Santiago throughout the duration of this contract.
- The buyer reserves the right to inspect and reject any materials or workmanship that do not meet the agreed specifications. Rejected items must be replaced by Mason within five (5) business days at no additional cost to the buyer.
- This Purchase Order may only be modified or amended in writing, signed by authorized representatives of both parties. Verbal agreements shall have no legal effect.
- Mason shall comply with all environmental regulations of the Metropolitan Region of Chile Santiago, including proper disposal of construction waste and dust control during masonry operations.
- Confidentiality: Both parties agree to treat all commercial terms, pricing, and project details contained in this Purchase Order as strictly confidential and shall not disclose them to third parties without prior written consent.
By signing below, both parties acknowledge that they have read, understood, and agree to all terms, conditions, and specifications set forth in this Purchase Order. This document is executed in two (2) original copies, one for each party, in Chile Santiago.
