This Purchase Order is issued by Mason Construction Group (Shanghai) Co., Ltd. to procure masonry materials, structural components, and associated construction services required for the ongoing Mason Tower residential development project located in the Pudong New Area of China Shanghai. This Purchase Order governs the supply, delivery, and installation of all masonry-related goods and services as itemized below. All transactions under this Purchase Order shall be conducted in accordance with the laws of the People's Republic of China, the Shanghai Municipal Construction Regulations, and the terms and conditions specified herein.

All masonry materials and goods specified in this Purchase Order shall be delivered to the Mason Tower project site at 88 Century Avenue, Lujiazui, Pudong New Area, China Shanghai 201203. The supplier, Shanghai Mason Building Materials Supply Co., Ltd., shall arrange all transportation within the China Shanghai metropolitan area at its own cost. Delivery shall be completed in three (3) phased shipments over a period of forty-five (45) calendar days from the date of this Purchase Order. Each delivery to the China Shanghai site must be accompanied by a delivery note, material test certificates, and a signed receipt from the Mason site supervisor. The supplier shall bear all risks of loss or damage to masonry materials until they are unloaded and inspected at the designated China Shanghai delivery point.
5. PAYMENT TERMSPayment for this Purchase Order shall be made in Renminbi (CNY) via bank transfer to the supplier's designated account in China Shanghai. The payment schedule is as follows: (a) Thirty percent (30%) advance payment upon execution of this Purchase Order; (b) Fifty percent (50%) upon delivery and acceptance of all masonry materials at the China Shanghai site; (c) Twenty percent (20%) upon completion of all masonry labor services and final inspection. Payment shall be processed within fifteen (15) business days of receipt of a valid invoice. Late payments shall accrue interest at the rate of 0.05% per day as stipulated under Chinese commercial law.
6. QUALITY AND COMPLIANCE REQUIREMENTSAll masonry materials supplied under this Purchase Order must comply with the national standards of the People's Republic of China, including GB/T 5101 (Common Clay Bricks), GB/T 11968 (Autoclaved Aerated Concrete), and GB 175 (Cement). All materials must carry valid Chinese Manufacturing Licenses and pass inspection by the Shanghai Municipal Quality Supervision Bureau. The Mason project team reserves the right to reject any masonry materials that do not meet the specified standards. The supplier shall provide full traceability documentation for all batches delivered to the China Shanghai site.
7. GENERAL TERMS AND CONDITIONS7.1. This Purchase Order constitutes a binding agreement between Mason Construction Group (Shanghai) Co., Ltd. and Shanghai Mason Building Materials Supply Co., Ltd. upon signature by both authorized representatives.
7.2. Any disputes arising from this Purchase Order shall be resolved through negotiation, and failing that, through arbitration by the Shanghai International Economic and Trade Arbitration Commission in China Shanghai.
7.3. The supplier shall maintain adequate insurance coverage for all masonry materials in transit and on the China Shanghai site throughout the duration of this Purchase Order.
7.4. Neither party may assign or transfer its obligations under this Purchase Order without the prior written consent of the other party.
7.5. This Purchase Order is governed by the Civil Code of the People's Republic of China and applicable Shanghai municipal regulations.
7.6. Force majeure events, including but not limited to natural disasters affecting the China Shanghai region, shall be handled in accordance with Article 590 of the Chinese Civil Code.
