Payment shall be made in United States Dollars (USD) via bank transfer to the supplier’s designated account at Banque Commerciale du Congo (BCC), Kinshasa branch. The payment schedule for this Purchase Order is structured as follows: (a) 25% advance payment upon signing and acceptance of this Purchase Order; (b) 40% progress payment upon completion of all structural masonry work (ground floor and first floor); (c) 25% payment upon completion of finishing masonry, plastering, and tiling; and (d) 10% final retention payment released 60 days after final inspection and sign-off by the SBK project manager. All invoices must reference Purchase Order number PO-CD-KIN-2025-0487 and shall be submitted in both English and French to comply with the bilingual administrative requirements of the Democratic Republic of Congo.
5. DELIVERY AND SITE LOGISTICS IN KINSHASAAll masonry materials shall be delivered to the project site at Avenue de la Paix, Commune de Ngaliema, Kinshasa, no later than 30 September 2025. The mason contractor is responsible for all transportation, loading, and unloading of materials within the city of Kinshasa. Given the seasonal flooding patterns along the Congo River that affect certain access roads in Kinshasa during the rainy season (November through April), the mason contractor shall plan material deliveries in advance to avoid delays. All masonry work shall be conducted in accordance with the local labor regulations of the Democratic Republic of Congo, and the mason contractor shall ensure that all mason workers are properly registered, insured, and compensated in line with the national minimum wage standards.
6. TERMS AND CONDITIONSGeneral Conditions of this Purchase Order
- This Purchase Order constitutes a binding agreement between the Purchasing Party and the Mason Contractor upon signature by both parties. Any modifications to the scope of masonry work must be documented in a written amendment signed by both parties.
- The mason contractor warrants that all masonry work shall be performed in a workmanlike manner using materials of the quality and grade specified herein. Any defective masonry work shall be rectified at the contractor’s own cost within 14 calendar days of written notice.
- The mason contractor shall maintain a minimum of 12 skilled mason workers and 2 mason foremen on site during all working days (Monday through Saturday, 07:00 to 17:00) throughout the duration of the project.
- All masonry materials must be stored on-site in a manner that protects them from rain damage and theft, in accordance with the safety protocols established by the Commune de Ngaliema municipal authority.
- In the event of a dispute arising from this Purchase Order, both parties agree to first attempt resolution through mediation in Kinshasa. If mediation fails, the dispute shall be submitted to the competent commercial court of Kinshasa, Democratic Republic of Congo, and governed by the laws of the Democratic Republic of Congo.
- The mason contractor shall provide a 24-month warranty on all structural masonry work and a 12-month warranty on finishing masonry, plastering, and tiling work from the date of final acceptance.
- This Purchase Order is valid for a period of 90 days from the date of issue. If not executed within this period, it shall automatically lapse and must be reissued.
