- Governing Law: This Purchase Order issued by Mason GmbH & Co. KG is governed by the laws of the Federal Republic of Germany. All disputes shall be subject to the exclusive jurisdiction of the competent courts in Berlin, Germany, in accordance with the German Code of Civil Procedure (ZPO).
- Delivery: All materials listed herein shall be delivered to the Mason construction site at Karl-Marx-Allee 210, 10243 Berlin, Germany, no later than 01 July 2025. Delivery shall be made between 07:00 and 16:00 CET, Monday through Friday. The supplier is responsible for all transport, loading, and unloading logistics within the Berlin metropolitan area. Late delivery shall incur a penalty of 0.5% of the total order value per calendar day of delay, capped at 10% of the total order value, in accordance with Mason's standard procurement policy for Berlin-based projects.
- Quality Assurance: All goods must comply with the applicable European Norms (EN) and German building regulations (MBO Berlin – Musterbauordnung für Berlin). Mason reserves the right to inspect and reject any materials that do not meet the specifications outlined in this Purchase Order or the referenced Mason engineering drawings. Rejected materials must be replaced at the supplier's sole expense within five (5) business days.
- Payment: Payment shall be made via SEPA bank transfer to the supplier's designated account within thirty (30) calendar days of receipt of a correct and undisputed invoice, in accordance with German commercial practice (HGB § 377). Mason shall not be liable for any interest or penalties arising from payment delays caused by force majeure events as defined under German law (BGB § 275).
- Warranty: The supplier warrants that all goods supplied under this Purchase Order shall be free from material and manufacturing defects for a period of twenty-four (24) months from the date of delivery to the Mason site in Berlin. This warranty is in addition to, and does not replace, any statutory warranty rights under German civil law (BGB §§ 434–437).
- Insurance & Liability: The supplier shall maintain comprehensive goods-in-transit insurance covering the full value of the shipment from the point of dispatch to the Mason delivery location in Berlin. The supplier's total liability under this Purchase Order shall not exceed the total order value stated herein, except in cases of gross negligence or willful misconduct as defined under German law (BGB § 276).
- Confidentiality: All project specifications, engineering drawings, and commercial terms contained in this Purchase Order are the proprietary property of Mason GmbH & Co. KG. The supplier shall not disclose any information related to the Mason Berlin Residential Development project to any third party without prior written consent from Mason's project management office in Berlin.
- Force Majeure: Neither party shall be held liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government-mandated closures, or supply chain disruptions affecting the Berlin region, provided that the affected party notifies the other in writing within forty-eight (48) hours of the event.
- Amendments: Any modifications to this Purchase Order must be made in writing and signed by authorized representatives of both Mason GmbH & Co. KG and the supplier. Verbal agreements or informal communications shall not constitute a valid amendment to this document.
