- Acceptance: The supplier, Heinrich & Partner Maschinenbau AG, shall confirm acceptance of this Purchase Order in writing within five (5) business days of the date of issue. Failure to respond within this period shall be construed as rejection of the order by Mason Industries GmbH.
- Delivery: All goods and services shall be delivered to the Mason Industries GmbH facility located at Hauptstraße 142, 60311 Frankfurt am Main, Germany, no later than 08 August 2025. Delivery shall be made in accordance with the DAP (Delivered at Place) Incoterm 2020. Risk of loss or damage transfers to Mason Industries GmbH upon the goods being placed at the disposal of the buyer at the named place of destination in Frankfurt.
- Quality Assurance: All machinery and materials supplied under this Purchase Order must conform to the specifications outlined in the Mason Industries technical annexes referenced herein. Mason Industries GmbH reserves the right to inspect and test all delivered goods within fourteen (14) calendar days of receipt at the Frankfurt premises. Any non-conformity must be remedied by the supplier at its own cost within ten (10) business days of written notice.
- Payment: Mason Industries GmbH shall remit payment via SEPA bank transfer to the supplier's designated account within thirty (30) calendar days of receipt of a correct and undisputed invoice. The supplier's bank details for this transaction are: IBAN DE89 3704 0044 0532 0130 00, BIC COBADEFFXXX, Bank: Commerzbank AG, Frankfurt am Main.
- Warranty: The supplier warrants that all goods delivered under this Purchase Order shall be free from material and manufacturing defects for a minimum period of twenty-four (24) months from the date of delivery, in addition to the extended warranty package specified in item 05. This warranty is without prejudice to the statutory warranty rights under Sections 434 and 437 of the German Civil Code (BGB).
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from circumstances beyond its reasonable control, including but not limited to natural disasters, war, terrorism, government sanctions, or pandemics, provided that the affected party notifies the other in writing within forty-eight (48) hours of the occurrence.
- Governing Law and Jurisdiction: This Purchase Order and any disputes arising hereunder shall be governed by and construed in accordance with the laws of the Federal Republic of Germany. Exclusive jurisdiction for any legal proceedings shall lie with the competent courts of Frankfurt am Main, Germany.
- Confidentiality: Both Mason Industries GmbH and the supplier agree to maintain strict confidentiality regarding all technical specifications, pricing, and commercial terms contained in this Purchase Order. No information shall be disclosed to third parties without prior written consent of the other party.
- Amendments: Any modification to this Purchase Order must be made in writing and signed by authorised representatives of both Mason Industries GmbH and the supplier. Verbal agreements or informal communications shall not constitute a valid amendment.
