2. SCOPE OF PURCHASE ORDER

This Purchase Order is issued by Levant Heritage Construction Ltd. to StoneCraft Masonry & Supplies Co. for the procurement of masonry materials, specialized masonry tools, and professional mason labor services required for the restoration and expansion of a heritage building located in the Old City district of Jerusalem, Israel. All masonry work shall comply with the Israel Standards Institute (SII) regulations, the Jerusalem Municipality Building Code, and the guidelines set forth by the Israel Antiquities Authority for work conducted in designated heritage zones within Jerusalem.

4. DELIVERY AND SCHEDULE

All masonry materials shall be delivered to the designated construction site at 42 King David Street, Jerusalem, Israel, in accordance with the following schedule: Initial delivery of limestone blocks and cement within 10 business days of Purchase Order acceptance. Mason labor services shall commence no later than 21 July 2025 and shall be completed within 14 weeks of commencement. The supplier shall coordinate all deliveries with the Jerusalem Municipality traffic authority to ensure compliance with restricted vehicle access zones in the Old City and surrounding areas. All masonry materials must be stored on-site in a manner that prevents damage and complies with Israeli occupational health and safety regulations (Ministry of Economy and Industry).

5. TERMS AND CONDITIONS
  1. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of Israel. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in Jerusalem, Israel.
  2. Payment Terms: Payment shall be made in three installments: 30% upon signing and acceptance of this Purchase Order, 50% upon completion of 75% of the masonry work as verified by the site engineer, and 20% upon final acceptance and issuance of the completion certificate. All payments shall be made via bank transfer to the supplier's designated account in New Israeli Shekels (ILS).
  3. Quality Standards: All masonry materials must meet or exceed the specifications outlined in SII 500 (Masonry Construction) and SII 127 (Cement). The mason labor force must hold valid Israeli trade licenses and demonstrate a minimum of ten years of documented experience in heritage masonry work in Jerusalem or equivalent historical sites.
  4. Warranty: The supplier warrants that all masonry work shall be free from defects in materials and workmanship for a period of five (5) years from the date of final acceptance. Any masonry defects discovered within this warranty period shall be remedied at the supplier's sole expense.
  5. Permits and Compliance: The buyer is responsible for obtaining all necessary building permits from the Jerusalem Municipality and approvals from the Israel Antiquities Authority. The supplier shall ensure that all masonry work is performed in strict compliance with these permits and any conditions attached thereto.
  6. Insurance: The supplier shall maintain comprehensive general liability insurance with a minimum coverage of 5,000,000 ILS and workers' compensation insurance for all mason personnel engaged on this project throughout the duration of the work.
  7. Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government-mandated work stoppages in Jerusalem, or acts of war, provided that the affected party notifies the other in writing within 48 hours.
  8. Confidentiality: Both parties agree to maintain the confidentiality of all project specifications, architectural drawings, and commercial terms contained in this Purchase Order and shall not disclose such information to third parties without prior written consent.
6. ACCEPTANCE AND AUTHORIZATION

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the masonry project in Jerusalem, Israel. This document constitutes a binding agreement upon execution by authorized representatives of both parties.
