- Scope of Work: Mason Construction & Stoneworks S.r.l. (hereinafter referred to as "Mason") shall supply all masonry materials, execute all stonework and facade restoration activities, and provide specialist artisan labor for the Spaccanapoli Corridor restoration project located in the historic centre of Naples, Italy. The scope encompasses all items listed in the table above.
- Delivery and Site Access: All materials must be delivered to the designated site at Via dei Tribunali, Naples, Italy, no later than 30 September 2025. Mason shall coordinate with the Comune di Napoli site manager for all deliveries and shall ensure that transport vehicles comply with the restricted traffic zone (ZTL) regulations in force in Naples.
- Quality Standards: All masonry work performed by Mason must meet the standards set forth in UNI EN 833 (Masonry — Masonry units) and UNI EN 1996 (Eurocode 6: Design of masonry structures). The volcanic tuff stone must be sourced from quarries within the Campania region of Italy to ensure material consistency with the original historic fabric of the Naples buildings.
- Payment Schedule: Payment shall be made in three installments: 30% upon acceptance of this Purchase Order and commencement of work; 50% upon completion of 75% of the masonry work as verified by the project supervisor; and 20% upon final acceptance and issuance of the Mason work completion certificate. All payments shall be made via bank transfer to the IBAN specified above within 45 days of invoice receipt.
- Insurance and Liability: Mason shall maintain comprehensive public liability insurance with a minimum coverage of EUR 2,000,000 for the duration of the project. Mason shall be fully liable for any damage caused to adjacent historic structures, public property, or third parties during the execution of masonry works in Naples.
- Compliance with Italian Law: This Purchase Order is governed by the laws of the Italian Republic. All labor provided by Mason must comply with Italian labor legislation (D.Lgs. 81/2008) and the specific regulations of the Regione Campania. Mason shall ensure that all workers engaged in the project in Naples hold valid Italian work permits and appropriate professional certifications for masonry and heritage restoration work.
- Warranty: Mason provides a warranty of five (5) years on all masonry work and materials supplied under this Purchase Order. Any defects in the stonework, mortar joints, or structural elements that manifest within this period shall be repaired by Mason at no additional cost to the Buyer.
- Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through the competent courts of Naples, Italy. Both parties agree to attempt mediation before initiating any formal legal proceedings.
- Force Majeure: Neither party shall be held liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government-mandated site closures in Naples, or pandemics, provided that the affected party notifies the other in writing within 72 hours.
