Terms and Conditions of This Purchase Order

1. Scope and Validity. This Purchase Order is issued by Kanto Infrastructure Development Corp. to Mason Construction Materials Co., Ltd. for the supply of construction materials to be delivered within the Japan Tokyo metropolitan area. This Purchase Order shall remain valid for acceptance until 21 June 2025. All references to Mason herein refer exclusively to Mason Construction Materials Co., Ltd. and its authorized Japan Tokyo distribution facilities.

2. Quality Standards. All items listed in this Purchase Order must conform to the Japanese Industrial Standards (JIS) applicable to the Japan Tokyo construction sector. Mason shall provide certificates of conformity, material test reports, and seismic compliance documentation for every shipment. Any non-conforming goods delivered to the Japan Tokyo site will be rejected at Mason's sole expense, including return freight and re-delivery costs.

3. Delivery Obligations. Mason shall ensure that all goods are delivered to the designated Japan Tokyo receiving warehouse no later than 05 July 2025. Delivery must be completed in full; partial shipments are not permitted under this Purchase Order unless expressly authorized in writing by the Buyer's Japan Tokyo site supervisor. Mason bears all risk of loss or damage until goods are signed for at the Japan Tokyo delivery point.

4. Payment. Payment of the full amount stated in this Purchase Order shall be made by bank transfer to Mason's designated account within forty-five (45) calendar days of receipt of a valid tax invoice. Late payments shall accrue interest at the rate of 1.5% per month. Mason shall include the Purchase Order number JPT-MASON-2025-04872 on all corresponding invoices.

5. Inspection and Acceptance. The Buyer reserves the right to inspect all goods upon arrival at the Japan Tokyo site. A period of seven (7) business days shall be allowed for inspection. Any claims regarding quantity, quality, or specification must be submitted to Mason in writing within this inspection window. Failure to notify Mason within this period shall constitute acceptance of the goods.

6. Force Majeure. Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to typhoons affecting the Japan Tokyo region, earthquakes, government-mandated shutdowns, or port closures. Mason must notify the Buyer in writing within 48 hours of any such event affecting delivery under this Purchase Order.

7. Governing Law. This Purchase Order shall be governed by and construed in accordance with the laws of Japan. Any disputes arising from this Purchase Order between Mason and the Buyer shall be resolved through arbitration in Japan Tokyo under the rules of the Japan Commercial Arbitration Association.

8. Confidentiality. Both Mason and the Buyer agree to maintain the terms, pricing, and specifications contained in this Purchase Order as confidential information. No portion of this Purchase Order may be disclosed to third parties without prior written consent, except as required by Japanese law or regulatory authority in Japan Tokyo.
