- Payment shall be made in Moroccan Dirhams (MAD) via bank transfer to the supplier's account at Bank of Africa, Casablanca branch, IBAN: MA64 4002 1010 0312 3456 7890 1234.
- 30% advance payment upon signature of this Purchase Order by both parties.
- 50% upon delivery of all masonry materials to the Casablanca project site and verification by the buyer's site engineer.
- 20% final payment upon completion of all Mason labor services and acceptance of the finished masonry works by the project director.
- All payments are due within 30 calendar days from the date of the corresponding invoice.
- Late payments shall incur a penalty of 1.5% per month of delay, in accordance with Moroccan commercial law (Code de Commerce, Article 1237-2).
- All materials shall be delivered to the designated project site in Ain Diab, Casablanca, Morocco, between 07:00 and 17:00 local time, Monday through Saturday.
- The supplier, Mason & Partners SARL, is responsible for all transportation, loading, and unloading within the Casablanca metropolitan area.
- Delivery schedules must be coordinated with the buyer's site manager at least 48 hours in advance.
- All masonry materials must comply with Moroccan national standards (NM) and the applicable technical regulations of the Ministry of Equipment and Water, Casablanca-Settat region.
- Any materials found to be defective or non-conforming upon arrival at the Casablanca site shall be replaced at the supplier's sole expense within 5 business days.
- All Mason labor personnel assigned to this project must hold valid Moroccan masonry trade certificates (Certificat de Qualification Professionnelle – CQP) issued by the relevant Casablanca vocational training center.
- Masonry work must conform to the structural drawings approved by the Casablanca urban planning authority (Direction de l'Urbanisme, Casablanca).
- The supplier shall provide a written warranty of 24 months on all masonry works, covering structural integrity, joint adhesion, and waterproofing performance.
- Regular quality inspections shall be conducted by the buyer's independent engineer. The supplier must grant full access to the Casablanca site for such inspections.
- Health and safety compliance with Moroccan labor regulations (Code du Travail) and site-specific safety plans is mandatory for all Mason team members.
- This Purchase Order is governed by the laws of the Kingdom of Morocco. Any disputes arising from this Purchase Order shall be resolved by the competent commercial courts of Casablanca, Morocco.
- The supplier, Mason & Partners SARL, warrants that all materials supplied are new, of first quality, and free from defects in material and workmanship.
- Neither party may assign or transfer this Purchase Order without the prior written consent of the other party.
- This Purchase Order constitutes the entire agreement between the parties regarding the masonry procurement for the Dar Al-Bahr project in Casablanca and supersedes all prior negotiations, representations, or agreements.
- Force majeure events, including but not limited to natural disasters affecting the Casablanca region, shall excuse delayed performance for the duration of the event, provided written notice is given within 48 hours.
- This Purchase Order is valid for acceptance within 10 business days from the date of issue. Failure to sign and return within this period shall render this Purchase Order null and void.
