All goods supplied by Mason Building Supplies Ltd under this Purchase Order shall be delivered to the project site at 250 Karangahape Road, Ponsonby, Auckland, New Zealand. Delivery must be completed no later than 28 June 2025. Mason is responsible for all freight, loading, and unloading costs within the Auckland metropolitan area. Goods must be delivered in full compliance with Auckland Transport loading zone regulations and must not obstruct public footpaths or roadways. Mason shall provide a minimum of 48 hours' written notice prior to each delivery to the Buyer's site manager.
Payment for all goods and services rendered under this Purchase Order by Mason Building Supplies Ltd shall be made in New Zealand Dollars (NZD) via bank transfer to the account nominated by Mason in writing. Payment terms are Net 30 days from the date of a valid tax invoice issued by Mason. The Buyer shall not be liable for any late payment penalties unless the invoice is disputed in good faith. All amounts are inclusive of 15% New Zealand Goods and Services Tax (GST) as required by the Inland Revenue Department of New Zealand.
- 1. Governing Law: This Purchase Order and all transactions arising from it shall be governed by and construed in accordance with the laws of New Zealand, specifically as applied in Auckland, New Zealand. Any disputes shall be resolved in the District Court of Auckland.
- 2. Quality Assurance: All products supplied by Mason must meet or exceed the specifications outlined in this Purchase Order and comply with all relevant New Zealand Standards (NZS). Mason shall provide certificates of conformity and material test reports upon request.
- 3. Acceptance & Inspection: The Buyer reserves the right to inspect all goods upon delivery at the Auckland site. Any goods found to be defective, damaged, or non-conforming shall be rejected and replaced by Mason at no additional cost to the Buyer within 10 business days.
- 4. Cancellation: Either party may cancel this Purchase Order with 14 days' written notice. In the event of cancellation by the Buyer after Mason has commenced procurement of materials, the Buyer shall be liable for non-cancellable costs incurred by Mason, up to a maximum of 20% of the total Purchase Order value.
- 5. Insurance: Mason shall maintain adequate public liability insurance (minimum NZD 20 million) and goods-in-transit insurance for the duration of this Purchase Order. Mason shall provide a certificate of insurance upon request.
- 6. Health & Safety: Mason and all subcontractors engaged by Mason must comply with the Health and Safety at Work Act 2015 (New Zealand) and all Auckland Council site safety requirements. Mason shall ensure all personnel working on the Auckland site hold valid White Cards (SafeWork NZ).
- 7. Environmental Compliance: All materials supplied by Mason must comply with New Zealand environmental regulations, including the Resource Management Act 1991 and Auckland Council's environmental management plans. Mason shall not supply any materials containing prohibited substances under New Zealand law.
- 8. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters (earthquakes, volcanic activity, severe weather common to New Zealand Auckland), government actions, or supply chain disruptions.
- 9. Confidentiality: Both parties agree to treat all commercial information exchanged under this Purchase Order as confidential and shall not disclose pricing, specifications, or project details to third parties without prior written consent.
- 10. Entire Agreement: This Purchase Order, together with any attached schedules and specifications, constitutes the entire agreement between the Buyer and Mason regarding the subject matter herein and supersedes all prior negotiations, representations, or agreements.
By signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order. This document is executed in Auckland, New Zealand.
