Terms and Conditions of this Purchase Order
- This Purchase Order is issued by Helvetia Construction & Development AG, a registered entity in Switzerland Zurich, and constitutes a binding procurement request directed to Mason Building Materials & Supplies Ltd. for the supply of construction materials and related goods as itemized above.
- All goods must comply with applicable Swiss Federal standards, including but not limited to SIA (Swiss Association of Engineers and Architects) specifications and the Swiss Code of Obligations (OR) governing commercial transactions in Switzerland Zurich.
- Mason shall deliver all ordered materials to the designated project site at Limmatquai 88, 8001 Zurich, Switzerland, no later than 05 July 2025. Delivery shall be made between 07:00 and 16:00 CET on business days, in accordance with Zurich municipal traffic regulations for heavy goods vehicles.
- Payment shall be made via bank transfer to the account designated by Mason within thirty (30) calendar days of receipt of a valid invoice. Late payments shall accrue interest at the statutory Swiss rate as defined under Article 104 of the Swiss Code of Obligations.
- All materials supplied by Mason must be accompanied by certificates of conformity, material test reports, and relevant CE or Swiss SIA certification documentation. Failure to provide such documentation shall entitle the buyer to reject the shipment without penalty.
- In the event of non-conforming goods, Mason shall, at its own expense, replace or repair the defective items within ten (10) business days of written notice from the buyer. Repeated non-conformance (two or more instances) shall constitute grounds for termination of this Purchase Order and any associated framework agreements.
- This Purchase Order is governed by the laws of the Swiss Confederation. Any disputes arising from or in connection with this document shall be subject to the exclusive jurisdiction of the courts of the Canton of Zurich, Switzerland Zurich.
- Mason warrants that all goods are free from liens, encumbrances, and third-party claims, and that the supply of these materials does not infringe upon any intellectual property rights.
- Force majeure events, as defined under Swiss law, shall relieve the affected party from performance obligations for the duration of the event, provided written notice is given within five (5) business days of the occurrence.
- This Purchase Order may only be amended or modified by mutual written agreement signed by authorized representatives of both parties. Verbal modifications are expressly void.
- All communications regarding this Purchase Order shall be directed to the procurement department of Helvetia Construction & Development AG in Switzerland Zurich or to the sales office of Mason as listed in the header of this document.
