Terms and Conditions — Mason Ltd Purchase Order
- This Purchase Order is issued by Mason Ltd, a company registered in England and Wales (Company No. 08765432), with its principal place of business at 142 Corporation Street, Birmingham, United Kingdom. All goods and services referenced herein shall be delivered to the Mason Ltd warehouse facility in Birmingham unless otherwise specified in writing.
- The supplier acknowledges that this Purchase Order constitutes a binding contract upon acceptance and signature. All materials must comply with current British Standards (BS) and the Building Regulations applicable in the United Kingdom. Mason Ltd reserves the right to inspect and reject any goods that do not meet the specified quality parameters upon arrival at the Birmingham site.
- Delivery shall be made in full by the Required Delivery Date stated above. Late delivery beyond five (5) business days entitles Mason Ltd to withhold payment and claim liquidated damages at a rate of 0.5% of the total Purchase Order value per day of delay, up to a maximum of 10%.
- Payment shall be made via BACS transfer to the supplier's nominated bank account within thirty (30) calendar days of receipt of a valid VAT invoice, provided all goods have been delivered to Mason Ltd's Birmingham premises and accepted in accordance with the specifications outlined in this Purchase Order.
- All goods are to be delivered DDP (Delivered Duty Paid) to the Mason Ltd warehouse address in Birmingham, United Kingdom. The supplier bears all risk of loss or damage until the goods are physically received and signed for by an authorised Mason Ltd representative on site.
- This Purchase Order is governed by the laws of England and Wales. Any disputes arising from or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the courts of Birmingham, United Kingdom. Mason Ltd shall not be liable for any consequential or indirect losses.
- The supplier warrants that all goods supplied under this Purchase Order are free from defects, fit for the purpose described, and comply with all applicable health, safety, and environmental legislation in force in the United Kingdom at the time of delivery.
- Any amendments to this Purchase Order must be made in writing and signed by both parties. Verbal instructions, including those given on the Mason Ltd construction site in Birmingham, do not constitute a valid variation to this document.
