1. This Purchase Order is issued by Pacific Rim Development Group LLC, a corporation registered in the State of California, United States, and is governed by the commercial laws of the State of California and applicable federal regulations.
2. Mason Construction Supply Co. shall deliver all items listed above to the designated project site at 8800 Sunset Boulevard, Los Angeles, California 90069, United States, no later than July 15, 2025. Delivery must be completed between the hours of 07:00 and 16:00 local time on the delivery date.
3. All masonry materials, cement products, concrete blocks, and structural components supplied by Mason Construction Supply Co. must comply with the International Building Code (IBC) 2021 edition, the California Building Standards Code (Title 24), and all applicable Los Angeles Municipal Code provisions for commercial construction in the City of Los Angeles.
4. Payment shall be made within thirty (30) calendar days of receipt of a valid invoice from Mason Construction Supply Co. Payment will be processed via wire transfer to the bank account designated by the supplier. Late payments shall accrue interest at a rate of 1.5% per month as permitted under California law.
5. Mason Construction Supply Co. warrants that all goods furnished under this Purchase Order shall be new, of merchantable quality, and free from defects in material and workmanship for a period of not less than two (2) years from the date of delivery in Los Angeles.
6. The supplier shall provide all necessary Material Safety Data Sheets (MSDS), certificates of compliance, and mill test reports for all masonry and structural products upon request. All documentation must reference the Los Angeles, United States delivery location.
7. In the event of a delivery delay exceeding five (5) business days beyond the required delivery date, the buyer reserves the right to cancel this Purchase Order in whole or in part and seek alternative sourcing from other vendors within the Los Angeles metropolitan area without penalty.
8. All disputes arising from this Purchase Order shall be resolved through binding arbitration in Los Angeles, California, United States, in accordance with the rules of the American Arbitration Association. The prevailing party shall be entitled to recover reasonable attorney's fees and costs.
9. This Purchase Order constitutes the entire agreement between the parties with respect to the subject matter herein and supersedes all prior negotiations, representations, or agreements, whether written or oral, relating to the masonry supply contract for the Westside Commercial Tower Renovation project in Los Angeles.
10. Neither party may assign this Purchase Order without the prior written consent of the other party. Any modification to this document must be made in writing and signed by authorized representatives of both Mason Construction Supply Co. and Pacific Rim Development Group LLC.
