This Purchase Order governs all terms, conditions, pricing, and delivery obligations related to the procurement of goods for the "Residencial Los Cedros" development project located in the municipality of Chacao, Venezuela Caracas. Mason is hereby authorized and obligated to fulfill all line items specified in this Purchase Order in accordance with Venezuelan commercial law, the applicable regulations of the Superintendencia de Compras del Sector Público, and the specific contractual terms outlined herein.

All goods specified in this Purchase Order shall be delivered by Mason Industrial & Construction Materials, S.A. to the designated construction site of the Residencial Los Cedros project, located at Av. Principal de Chacao, Km 4.5, Venezuela Caracas, 1060. Delivery shall be made in three (3) scheduled shipments over a period of forty-five (45) calendar days from the date of this Purchase Order. The first shipment, comprising Items 01 through 03, shall arrive no later than July 15, 2025. The second shipment, comprising Items 04 through 06, shall arrive no later than August 5, 2025. The final shipment, comprising Items 07 and 08, shall arrive no later than August 20, 2025. Mason shall bear all transportation costs, insurance, and risk of loss until the goods are received and inspected at the Venezuela Caracas delivery site. All deliveries must comply with the traffic regulations of the Alcaldía del Municipio Chacao and the national highway authority (INPATH) for transport within the Caracas metropolitan area.

Payment for this Purchase Order shall be made by Mason Industrial & Construction Materials, S.A. in accordance with the following schedule: thirty percent (30%) upon confirmation and acceptance of this Purchase Order by both parties; forty percent (40%) upon delivery and successful inspection of the second shipment at the Venezuela Caracas site; and the remaining thirty percent (30%) upon final delivery, complete inspection, and issuance of the final acceptance certificate by the Buyer's project engineer. All payments shall be processed in United States Dollars (USD) via wire transfer to the bank account designated by Mason, in compliance with the regulations of the Banco Central de Venezuela (BCV) and the applicable foreign exchange controls. Payment terms are net thirty (30) days from the date of the respective invoice issued by Mason.

Mason warrants that all materials supplied under this Purchase Order shall conform to the specifications outlined in the Mason product catalog, the Venezuelan National Standards (COVENIN), and the applicable international standards (ASTM, ISO) referenced in the project documentation. The Buyer reserves the right to inspect and test all materials upon arrival at the Venezuela Caracas delivery site. Any materials found to be defective, substandard, or non-conforming shall be rejected at no additional cost to the Buyer, and Mason shall replace such materials within ten (10) business days at Mason's sole expense. Mason shall provide all relevant mill certificates, material test reports, and compliance documentation for each shipment.

• This Purchase Order is governed by the commercial laws of the Bolivarian Republic of Venezuela and the applicable provisions of the Venezuelan Commercial Code.
• Mason shall maintain adequate liability insurance coverage for all goods in transit to the Venezuela Caracas delivery location throughout the duration of this Purchase Order.
• Any modifications, amendments, or changes to this Purchase Order must be made in writing and signed by authorized representatives of both parties.
• In the event of force majeure, including but not limited to natural disasters, government sanctions, or supply chain disruptions affecting Venezuela, the affected party shall notify the other party within forty-eight (48) hours, and both parties shall negotiate in good faith to adjust delivery timelines.
• Mason shall comply with all environmental regulations of the Ministerio del Poder Popular para Ecosocialismo y Aguas in the handling, packaging, and transport of materials within the Caracas metropolitan area.
• Disputes arising from this Purchase Order shall be resolved through arbitration in Caracas, Venezuela, in accordance with the rules of the Centro de Arbitraje y Mediación de la Cámara de Comercio de Caracas.
• This Purchase Order constitutes the entire agreement between the parties regarding the subject matter herein and supersedes all prior negotiations, representations, or agreements.
