This Purchase Order authorizes the engagement of a qualified Mathematician to provide advanced quantitative analysis, model development, and statistical consulting services to Northlake Analytics & Research Group Inc. The Mathematician shall perform all duties in accordance with the professional standards established by the Province of Ontario and the applicable regulations governing professional services in Canada Toronto. The Mathematician is expected to deliver all work products in a manner consistent with the highest academic and industry standards recognized in the Canadian mathematical sciences community.

Payment for this Purchase Order shall be made in three (3) equal installments of $22,939.00 (CAD) each, due net thirty (30) days from the date of invoice. The first installment is due upon execution of this Purchase Order. The second installment is due upon completion of Line Items 001 through 003. The final installment is due upon acceptance of all remaining deliverables, including the white paper and training sessions. All payments shall be made via electronic funds transfer (EFT) to the account designated by the Mathematician. Late payments shall accrue interest at the rate of 1.5% per month in accordance with the Ontario Interest Act and applicable commercial law in Canada Toronto.

6.1 This Purchase Order is governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Canada Toronto. Any disputes arising from this Purchase Order shall be resolved through arbitration in Canada Toronto in accordance with the rules of the Arbitration Association of Canada.

6.2 The Mathematician warrants that all work products shall be original, free from intellectual property infringement, and shall not incorporate proprietary materials belonging to any third party without proper authorization.

6.3 The Mathematician shall maintain professional liability insurance with a minimum coverage of $2,000,000 (CAD) for the duration of the engagement. A certificate of insurance shall be provided prior to the commencement of work.

6.4 All data and confidential information provided by Northlake Analytics & Research Group Inc. to the Mathematician shall be treated as strictly confidential. The Mathematician agrees to a non-disclosure period of five (5) years following the completion of this Purchase Order.

6.5 The Mathematician shall comply with all applicable Canadian privacy legislation, including the Personal Information Protection and Electronic Documents Act (PIPEDA) and the Ontario Personal Information Protection Act (PIPA).

6.6 This Purchase Order may be amended only by mutual written agreement of both parties. No oral modifications shall be binding.

6.7 The Mathematician reserves the right to subcontract no more than 15% of the total hours to a qualified associate, provided prior written approval is obtained from the Buyer.

All deliverables under this Purchase Order shall be submitted to the Buyer's office in Canada Toronto or via secure electronic transfer. The Buyer shall have ten (10) business days from the date of submission to review and either accept or request revisions. If no response is received within this period, the deliverable shall be deemed accepted. The Mathematician shall make reasonable efforts to meet the timelines outlined in the project schedule attached as Appendix A to this Purchase Order.
