2. Description of Services — Mathematician Engagement
This Purchase Order is issued by the Andes Scientific Research Institute to formally engage the professional services of a qualified Mathematician, Dr. Valentina Reyes Contreras, for the duration specified herein. The engagement is to be carried out primarily in Chile Santiago, where the Institute maintains its principal research laboratory and administrative offices. The Mathematician shall provide advanced mathematical consultancy, research support, and analytical problem-solving services as detailed in the line items below.

3. Terms and Conditions
3.1 Scope of Work: The Mathematician shall perform all services in accordance with the specifications outlined in this Purchase Order and any supplementary technical annexes agreed upon in writing. All deliverables must be completed at the Institute's premises in Chile Santiago unless otherwise authorized in writing by the Project Director.
3.2 Payment Terms: Payment shall be made in monthly installments of CLP 6,800,000, due on the last business day of each month following the completion of the corresponding service period. Invoices must be submitted to the procurement department at the Chile Santiago office no later than the fifth business day of the following month. Late payments shall accrue interest at the rate established by the Banco Central de Chile.
3.3 Intellectual Property: All mathematical models, algorithms, proofs, code, and documentation produced by the Mathematician under this Purchase Order shall be the exclusive property of the Andes Scientific Research Institute. The Mathematician retains the right to publish general findings in peer-reviewed journals, subject to a thirty-day prior review by the Institute.
3.4 Confidentiality: The Mathematician agrees to maintain strict confidentiality regarding all proprietary data, research findings, and internal methodologies encountered during the engagement in Chile Santiago. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
3.5 Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Institute shall compensate the Mathematician for all services rendered up to the effective date of termination, calculated on a pro-rata basis.
3.6 Compliance: The Mathematician warrants that all services shall be performed in full compliance with the laws of the Republic of Chile, including but not limited to labor regulations applicable in Chile Santiago, tax obligations, and professional licensing requirements for mathematical and scientific consultancy.
3.7 Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through binding arbitration in Chile Santiago, in accordance with the rules of the Chilean Arbitration Center (Centro de Arbitraje y Mediación de Chile). The language of arbitration shall be Spanish, with all proceedings conducted in Chile Santiago.
3.8 Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government mandates, or public health emergencies affecting Chile Santiago.
4. Acceptance and Authorization
This Purchase Order constitutes a formal and binding request for the professional services of the Mathematician identified herein. By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this document. This Purchase Order is valid for acceptance within ten (10) business days of the date of issue.
