This Purchase Order is issued by Beijing Advanced Computational Sciences Institute Co., Ltd. (hereinafter referred to as the "Buyer") to engage the services of Prof. Liang Chen, a qualified Mathematician (hereinafter referred to as the "Mathematician" or "Provider"), for the purpose of delivering advanced mathematical research, algorithmic design, and analytical consulting services. The Mathematician shall perform all duties and deliverables at the Buyer's primary research facility located in China Beijing, specifically within the Zhongguancun Science Park premises in Haidian District. The engagement of this Mathematician is critical to the Buyer's ongoing national-level computational modeling project and is subject to the terms and conditions set forth in this Purchase Order.

5.1 Governing Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the Civil Code of the People's Republic of China and all applicable regulations enforced in China Beijing. Any disputes arising from or in connection with this Purchase Order shall be submitted to the Beijing Municipal Arbitration Commission for resolution in China Beijing.
5.2 Performance Location: All services rendered by the Mathematician shall be performed at the Buyer's designated facility in China Beijing unless otherwise agreed in writing. The Mathematician is expected to be physically present at the Zhongguancun Science Park location for a minimum of five (5) business days per week during the active engagement period.
5.3 Payment Terms: Payment shall be made in three (3) installments: 30% upon execution of this Purchase Order, 40% upon completion of Line Items 01 and 02, and 30% upon final acceptance of all deliverables. All payments shall be transferred via bank wire to the account designated by the Mathematician, processed through a licensed financial institution operating in China Beijing.
5.4 Intellectual Property: All mathematical models, algorithms, proofs, and documentation produced by the Mathematician under this Purchase Order shall be the exclusive property of the Buyer. The Mathematician grants the Buyer a perpetual, irrevocable, royalty-free license to use, modify, and distribute all work product generated in China Beijing under this engagement.
5.5 Confidentiality: The Mathematician agrees to maintain strict confidentiality regarding all proprietary data, research findings, and internal methodologies of the Buyer. This obligation shall survive the termination of this Purchase Order for a period of five (5) years and is enforceable under the Anti-Unfair Competition Law of the People's Republic of China.
5.6 Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall compensate the Mathematician for all services rendered up to the effective date of termination, calculated on a pro-rata basis.
5.7 Compliance: The Mathematician warrants that all services shall comply with the data security regulations, export control laws, and scientific research ethics standards applicable in China Beijing. The Mathematician shall not transfer any research data outside the territory of the People's Republic of China without prior written authorization from the Buyer and the relevant Chinese regulatory authorities.
By signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order for the engagement of the Mathematician in China Beijing. This document constitutes a binding commercial agreement upon execution by both authorized representatives.
