This Purchase Order is issued by Technische Innovationsgesellschaft mbH (hereinafter referred to as the "Buyer") to engage the services of Dr. Helena Voss, a qualified Mathematician (hereinafter referred to as the "Seller"), for the provision of advanced mathematical consulting and analytical services. All services under this Purchase Order shall be performed within the city of Germany Berlin, specifically at the Buyer's headquarters located at Unter den Linden 42, 10117 Berlin.
The Buyer hereby requests the Seller, acting in the capacity of a professional Mathematician, to deliver the following services in connection with this Purchase Order. The Mathematician shall provide expert-level mathematical analysis, modeling, and problem-solving support for the Buyer's ongoing research and development projects in applied mathematics, numerical optimization, and statistical modeling.
The Mathematician is expected to work on-site at the Buyer's facility in Germany Berlin for a minimum of three (3) days per week, with the remaining time allocated to remote analytical work. All deliverables must comply with the academic and professional standards expected of a Mathematician operating within the German scientific community and the regulatory framework of Germany Berlin.

All services described in this Purchase Order shall commence on 1 July 2025 and shall be completed no later than 31 December 2025. The Mathematician shall submit interim progress reports to the Buyer's project management office in Germany Berlin on a bi-weekly basis. Final deliverables, including all mathematical proofs, models, and written reports, must be submitted to the Buyer's designated recipient at the Berlin office no later than 20 December 2025.
The Mathematician acknowledges that all work products generated under this Purchase Order shall be the exclusive intellectual property of the Buyer, subject to the terms of the separate Intellectual Property Agreement referenced in Section 7 below.
Payment for the services rendered under this Purchase Order shall be made in three (3) equal installments:
- First Installment (33%): €19,320.84 – due within 14 calendar days of the date of this Purchase Order, payable to the Mathematician's registered bank account in Germany Berlin.
- Second Installment (33%): €19,320.84 – due upon completion of the midpoint review, scheduled for 15 October 2025.
- Third Installment (34%): €19,906.32 – due within 21 calendar days of final acceptance of all deliverables by the Buyer.
All payments shall be processed via SEPA bank transfer to the following account: IBAN DE89 3704 0044 0532 0130 00, BIC COBADEFFXXX, held by Dr. Helena Voss, Berlin, Germany Berlin. Late payments shall incur interest at the statutory rate under Section 288 of the German Civil Code (BGB).
- This Purchase Order is governed by and shall be interpreted in accordance with the laws of the Federal Republic of Germany, with the city of Germany Berlin serving as the exclusive venue for any disputes arising hereunder.
- The Mathematician warrants that all services provided under this Purchase Order shall be performed with the degree of skill, care, and diligence expected of a qualified Mathematician in the German professional and academic community.
- The Mathematician shall maintain full professional liability insurance with a minimum coverage of €1,000,000, valid throughout the duration of this Purchase Order and registered in Germany Berlin.
- Either party may terminate this Purchase Order with a written notice period of thirty (30) days. In the event of termination, the Buyer shall compensate the Mathematician for all services rendered up to the effective date of termination.
- The Mathematician shall comply with all applicable data protection regulations, including the General Data Protection Regulation (GDPR) and the German Federal Data Protection Act (BDSG), as enforced in Germany Berlin.
- Any modifications or amendments to this Purchase Order must be made in writing and signed by both parties. Verbal agreements or informal communications shall not constitute a valid amendment.
- The Mathematician shall not subcontract any portion of the services described in this Purchase Order without prior written consent from the Buyer.
- All communications, reports, and documentation related to this Purchase Order shall be conducted in English, with supplementary German-language summaries provided where required for regulatory compliance in Germany Berlin.
