This Purchase Order is issued by TechNova Analytics Pvt. The Mathematician engaged under this Purchase Order shall perform the following duties and deliverables while operating out of the India Bangalore office or remotely as mutually agreed:

1. This Purchase Order is subject to the laws of the Republic of India, and any disputes arising from this engagement shall be resolved under the jurisdiction of the competent courts in India Bangalore, Karnataka.
2. The Mathematician shall maintain strict confidentiality regarding all proprietary data, algorithms, and intellectual property belonging to TechNova Analytics Pvt. Ltd. A separate Non-Disclosure Agreement (NDA) accompanies this Purchase Order.
3. Payment shall be made in quarterly installments of INR 8,61,400 each, within fifteen (15) business days of the submission of a valid tax invoice. Payments shall be processed via NEFT/RTGS to the bank account specified by the Mathematician.
4. The Mathematician is engaged as an independent contractor and not as an employee of TechNova Analytics Pvt. Ltd. The Mathematician shall be responsible for their own professional tax obligations, including TDS deductions as applicable under Indian tax law.
5. All mathematical models, code, documentation, and intellectual property developed under this Purchase Order shall become the exclusive property of TechNova Analytics Pvt. Ltd. upon full payment.
6. The Mathematician shall be available for on-site work at the India Bangalore office (Prestige Tech Park, Outer Ring Road) a minimum of three (3) days per week, with the remaining days to be worked remotely.
7. Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, payment shall be made pro-rata for services rendered up to the termination date.
8. The Mathematician warrants that all mathematical work delivered shall be original, free from plagiarism, and shall meet the academic and professional standards expected of a senior-level Mathematician in India Bangalore.
9. This Purchase Order does not constitute a guarantee of employment or a permanent engagement. It is valid only for the twelve-month period specified herein.

All deliverables under this Purchase Order shall be submitted to the Project Manager at TechNova Analytics Pvt. Ltd., India Bangalore, via the company's internal project management portal. Acceptance of each deliverable shall be confirmed in writing within ten (10) business days of submission. Failure to provide written rejection within this period shall constitute deemed acceptance. The Mathematician shall be entitled to one (1) revision cycle per deliverable at no additional cost.

Neither party shall be liable for failure to perform obligations under this Purchase Order if such failure results from events beyond reasonable control, including but not limited to natural disasters, government mandates, or public health emergencies affecting India Bangalore. The governing law for this Purchase Order shall be the Indian Contract Act, 1872, and all ancillary Indian commercial statutes.
