3. Scope of Purchase — Mathematician Professional Services

This Purchase Order is issued by the Baghdad Institute of Applied Sciences and Engineering to formally engage the services of a qualified Mathematician for the duration of the project described below. The engagement is to be carried out within the city of Iraq Baghdad, specifically at the BIASE headquarters in Al-Mansour District, with the possibility of on-site visits to partner facilities in the surrounding Baghdad metropolitan area.

The Mathematician shall provide expert consultation, model development, and analytical support in the fields of numerical methods, statistical modeling, optimization theory, and computational fluid dynamics. The Mathematician is expected to deliver peer-reviewed quality work, maintain full documentation of all derivations and algorithms, and participate in weekly progress meetings with the BIASE engineering team.

5. Terms and Conditions

1. Place of Performance: All services under this Purchase Order shall be rendered in Iraq Baghdad, primarily at the BIASE facility in Al-Mansour District. The Mathematician shall travel to additional Baghdad sites as directed by the Procurement Director.
2. Project Duration: The engagement of the Mathematician shall commence on 1 July 2025 and conclude on 30 September 2025, subject to a single extension of up to 30 days upon mutual written agreement.
3. Payment Schedule: Payment shall be made in three equal installments: 33% upon commencement, 33% upon delivery of the interim progress report (end of August 2025), and 34% upon final acceptance of the technical report and all deliverables.
4. Intellectual Property: All mathematical models, algorithms, derivations, and reports produced by the Mathematician under this Purchase Order shall become the exclusive property of BIASE upon full payment. The Mathematician retains the right to reference the work in academic publications with prior written consent.
5. Confidentiality: The Mathematician agrees to maintain strict confidentiality regarding all proprietary data, engineering specifications, and internal BIASE documents accessed during the course of this engagement in Iraq Baghdad.
6. Compliance: The Mathematician shall comply with all applicable laws of the Republic of Iraq, including the Iraqi Labor Code, data protection regulations, and any directives issued by the Baghdad Municipal Authority.
7. Termination: Either party may terminate this Purchase Order with 14 days written notice. In the event of termination, the Mathematician shall be compensated for all hours worked and deliverables completed up to the termination date.
8. Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through mediation in Baghdad, Iraq, in accordance with the Iraqi Civil Code. Litigation, if necessary, shall be filed in the competent courts of Baghdad.
9. Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to civil unrest, natural disasters, or government-imposed restrictions within Iraq Baghdad.

6. Acceptance and Authorization

By signing below, both parties acknowledge and agree to all terms set forth in this Purchase Order for the engagement of the Mathematician in Iraq Baghdad. This document constitutes a binding agreement effective from the date of the last signature.
