This Purchase Order is issued by Osaka Advanced Research Institute Co., Ltd. (hereinafter referred to as the "Buyer") to engage the services of a qualified Mathematician for the purpose of providing advanced mathematical consulting, research support, and analytical problem-solving services. The engagement of this Mathematician is critical to the Buyer's ongoing projects in computational modeling, stochastic optimization, and applied number theory, all of which are to be conducted at the Buyer's primary research facility located in Japan Osaka.

The Mathematician engaged under this Purchase Order shall possess a minimum of a Doctorate in Mathematics or a closely related field, with demonstrated expertise in at least three of the following disciplines: algebraic topology, differential equations, probability theory, combinatorics, numerical analysis, and mathematical physics. The Mathematician must be available to work on-site at the Buyer's laboratory in Japan Osaka for a minimum of four (4) days per week, with the remaining time allocated to remote analytical work and report preparation.

4.1 Scope of Engagement

The Mathematician shall perform all duties and deliverables as outlined in this Purchase Order in accordance with the academic and professional standards expected in the field of mathematics. All on-site work shall be conducted at the Buyer's premises in Japan Osaka, specifically at the Nakanoshima Research Campus. The Mathematician is expected to collaborate with the Buyer's internal team of engineers, data scientists, and junior researchers to ensure that mathematical solutions are practically applicable to the Buyer's industrial and research objectives.

4.2 Intellectual Property

All mathematical theorems, proofs, algorithms, models, and analytical frameworks developed by the Mathematician during the term of this Purchase Order shall be the exclusive intellectual property of the Buyer, Osaka Advanced Research Institute Co., Ltd. The Mathematician retains the right to publish findings in peer-reviewed academic journals, provided that a thirty (30) day prior written notice is given to the Buyer and that no proprietary or confidential data of the Buyer is disclosed. All publications shall acknowledge the Buyer's funding and the Japan Osaka location of the research.

4.3 Payment Terms

Payment for this Purchase Order shall be made in three (3) equal installments: (a) 40% upon execution of this Purchase Order and confirmation of the Mathematician's start date; (b) 35% upon delivery of the first two (2) peer-reviewed papers and completion of the first two (2) quarters of on-site work in Japan Osaka; and (c) 25% upon final delivery of all remaining deliverables and acceptance by the Buyer's Research Director. All payments shall be made via bank transfer to the account designated by the Mathematician within fifteen (15) business days of invoice receipt. Late payments shall incur an interest charge of 1.5% per month.

4.4 Duration and Termination

This Purchase Order shall remain in effect for a period of twelve (12) months from the date of issue, unless terminated earlier by mutual written agreement. Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Mathematician shall deliver all work-in-progress materials, notes, and preliminary findings to the Buyer within fourteen (14) days of the termination date. The Buyer shall compensate the Mathematician for all services rendered up to the effective date of termination.

4.5 Confidentiality

The Mathematician agrees to maintain strict confidentiality regarding all proprietary data, trade secrets, and unpublished research materials of the Buyer encountered during the course of this Purchase Order. This obligation shall survive the termination of this Purchase Order for a period of five (5) years. Any breach of confidentiality shall render the Mathematician liable for damages in accordance with Japanese commercial law.

4.6 Governing Law and Jurisdiction

This Purchase Order shall be governed by and construed in accordance with the laws of Japan. Any disputes arising from or in connection with this Purchase Order shall be resolved through arbitration in Japan Osaka in accordance with the rules of the Japan Commercial Arbitration Association (JCAA). The language of this Purchase Order and all related communications shall be English, with Japanese translations available upon request.

4.7 Health, Safety, and Compliance

The Mathematician shall comply with all health and safety regulations applicable to the Buyer's facility in Japan Osaka. The Mathematician shall present valid identification and any required work permits upon arrival at the facility. The Buyer shall provide all necessary workspace, computing resources, and reference materials required for the Mathematician to perform the services outlined in this Purchase Order.
