This Purchase Order is issued by East African Quantitative Research Institute to formally engage the services of a qualified Mathematician for the purpose of delivering advanced quantitative analysis, statistical modelling, and mathematical research support to the Institute's ongoing projects in Kenya Nairobi. The Mathematician shall provide expert consultancy in the areas of applied mathematics, numerical analysis, optimization theory, and computational modelling as detailed in the line items below.

All payments under this Purchase Order shall be made in Kenyan Shillings (KES) via bank transfer to the Mathematician's designated account. Payment shall be structured as follows:
- 30% Advance Payment: KES 369,576 payable within seven (7) business days of acceptance of this Purchase Order.
- 40% Milestone Payment: KES 492,768 payable upon delivery and acceptance of the mathematical feasibility report (Item 05) and completion of the workshop (Item 04).
- 30% Final Payment: KES 369,576 payable within fourteen (14) business days of final delivery and sign-off of all remaining deliverables.
Late payments shall attract interest at the rate of 2% per month as stipulated under the Kenyan Interest Act. All invoices must reference this Purchase Order number (KEN-NBO-2025-04782) for proper accounting reconciliation.
The Mathematician shall commence services on 1 July 2025 and complete all deliverables no later than 30 September 2025. All on-site work, including the workshop and any in-person consultations, shall be conducted at the EAQRI premises located in Kenya Nairobi unless otherwise agreed in writing. The Mathematician is expected to maintain regular communication with the project lead and submit weekly progress reports in both written and, where applicable, mathematical notation format.
- This Purchase Order constitutes a binding agreement between the Buyer and the Mathematician upon signature by both parties. All terms are governed by the laws of the Republic of Kenya.
- The Mathematician warrants that all mathematical work, models, equations, and analytical outputs delivered under this Purchase Order shall be original, free from plagiarism, and shall not infringe upon any third-party intellectual property rights.
- All deliverables, including but not limited to reports, code, models, and documentation produced in Kenya Nairobi under this engagement, shall become the exclusive property of EAQRI upon full payment.
- The Mathematician shall comply with all applicable data protection regulations under the Kenya Data Protection Act, 2019, particularly when handling sensitive quantitative data provided by the Institute.
- Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Mathematician shall be compensated for all work completed and documented up to the date of termination.
- The Mathematician shall maintain professional indemnity insurance with a minimum cover of KES 5,000,000 for the duration of this engagement in Kenya Nairobi.
- Any disputes arising from this Purchase Order shall be resolved through mediation in Kenya Nairobi before resorting to litigation in the High Court of Kenya at Nairobi.
- This Purchase Order may be amended only by mutual written agreement signed by both parties. Verbal modifications shall hold no legal force.
By signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order for the engagement of the Mathematician in Kenya Nairobi.
