This Purchase Order is issued by Instituto de Análisis Computacional y Modelado, S.A. de C.V. (hereinafter referred to as the "Buyer") to procure the professional services of a qualified Mathematician for the duration of the engagement. The Seller, Servicios Especializados en Matemáticas Aplicadas, S.A. de C.V., shall assign Dr. Alejandro Ramírez Torres, a Senior Mathematician holding a Ph.D. in Applied Mathematics from the Universidad Nacional Autónoma de México (UNAM), to perform the duties and deliverables outlined in this Purchase Order.

The Mathematician shall be physically present and perform all services within the jurisdiction of Mexico Mexico City, specifically at the Buyer's headquarters located on Av. Paseo de la Reforma 295. The Mathematician's primary responsibilities under this Purchase Order include, but are not limited to: the development of advanced stochastic models for financial risk assessment; the design and validation of numerical algorithms for partial differential equations; the provision of mathematical consulting to the Buyer's engineering and data science teams; and the preparation of peer-reviewed technical documentation in both Spanish and English.

3.1 Acceptance. This Purchase Order shall become a binding agreement upon written acceptance by the Seller. The Seller must return a signed copy of this Purchase Order to the Buyer within five (5) business days of the issue date. Failure to respond within this period shall constitute a declination of this Purchase Order.

3.2 Performance Location. All services rendered under this Purchase Order shall be performed in Mexico Mexico City. The Mathematician shall comply with all local labor regulations, municipal ordinances, and professional standards applicable in the Mexico Mexico City metropolitan area. The Buyer shall provide a dedicated workspace, computing infrastructure, and access to proprietary datasets at its Mexico Mexico City facility.

3.3 Intellectual Property. All mathematical models, algorithms, proofs, documentation, and derivative works created by the Mathematician in the course of fulfilling this Purchase Order shall be the exclusive property of the Buyer. The Mathematician hereby assigns all intellectual property rights arising from the engagement to the Buyer upon full payment.

3.4 Confidentiality. The Mathematician shall maintain strict confidentiality regarding all proprietary data, trade secrets, and business strategies of the Buyer. This obligation shall survive the termination of this Purchase Order for a period of three (3) years.

3.5 Compliance with Mexican Law. The Seller and the assigned Mathematician shall comply with all applicable federal and state laws of Mexico, including but not limited to the Federal Labor Law (Ley Federal del Trabajo), the Federal Tax Code, and the regulations of the Mexican Institute of Mathematicians (Colegio de Matemáticos de México). All invoices issued under this Purchase Order must include the corresponding CFDI (Comprobante Fiscal Digital por Internet) as mandated by the Servicio de Administración Tributaria (SAT).

3.6 Termination. Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall pay for all services rendered up to the effective date of termination, and the Mathematician shall deliver all work-in-progress materials to the Buyer.

3.7 Dispute Resolution. Any disputes arising from this Purchase Order shall be resolved through binding arbitration in Mexico Mexico City in accordance with the rules of the Mexican Arbitration Center (Centro de Arbitraje de México). The language of arbitration shall be Spanish.

This Purchase Order is authorized and issued by the undersigned on behalf of the Buyer. The Seller acknowledges receipt and acceptance of the terms set forth in this Purchase Order by signing below.
