This Purchase Order is issued by the Wellington Regional Science & Innovation Institute to formally engage the services of a qualified Mathematician for the provision of advanced mathematical consultancy, research support, and analytical modelling services within the New Zealand Wellington metropolitan area. The Mathematician shall deliver the following scope of work as outlined below:

2.1 This Purchase Order is governed by the laws of New Zealand and shall be interpreted in accordance with the New Zealand Contract and Commercial Law Act 2014. All disputes arising from this Purchase Order shall be resolved through the Disputes Tribunal in New Zealand Wellington.

2.2 The Mathematician warrants that all deliverables shall be original work, free from intellectual property infringement, and shall comply with the New Zealand Copyright Act 1994. All mathematical models, proofs, and algorithms developed under this Purchase Order shall become the property of the Wellington Regional Science & Innovation Institute upon full payment.

2.3 The Mathematician shall maintain professional indemnity insurance with a minimum cover of NZD $5,000,000 for the duration of this engagement. A certificate of insurance shall be provided to the Purchasing Entity prior to the commencement of services.

2.4 All work shall be performed in accordance with the New Zealand Code of Research Practice and the ethical guidelines established by the New Zealand Mathematical Society. The Mathematician shall adhere to all applicable health and safety regulations when attending on-site meetings in New Zealand Wellington.

2.5 The Purchasing Entity reserves the right to request reasonable revisions to any deliverable at no additional cost, provided such requests are made within ten (10) business days of initial delivery.

2.6 Cancellation of this Purchase Order by either party shall require thirty (30) days written notice. In the event of early termination, the Mathematician shall be compensated for all services rendered up to the date of termination, plus a reasonable wind-down fee not exceeding 10% of the remaining contract value.

Payment shall be made in New Zealand Dollars (NZD) via electronic funds transfer to the bank account nominated by the Mathematician. Invoices shall be submitted monthly in arrears and are payable within twenty-eight (28) days of receipt. Late payments shall attract interest at the rate prescribed under the New Zealand Late Payment of Debts Regulations 2002. A 2.5% early payment discount shall apply to invoices settled within fourteen (14) days.

The Mathematician shall commence services no later than 1 September 2025. A detailed project timeline, including milestone dates and interim deliverables, shall be agreed upon in writing within fourteen (14) days of the effective date of this Purchase Order. All on-site work in New Zealand Wellington shall be conducted during standard business hours (08:30–17:00, Monday to Friday), excluding public holidays as gazetted by the New Zealand Government.

By signing below, both parties acknowledge and agree to the terms set forth in this Purchase Order. This document constitutes a binding agreement for the engagement of the Mathematician's professional services in New Zealand Wellington.
