This Purchase Order is issued by the Istanbul Metropolitan University Research Directorate to engage the services of a qualified Mathematician for the duration of the academic and research year 2025–2026. - The total value of this Purchase Order is Five Hundred Ten Thousand Turkish Lira (TRY 510,000.00), inclusive of all applicable taxes and fees as mandated by the Republic of Turkey tax regulations.
- Payment shall be made in four equal quarterly installments of TRY 127,500.00 each, due on the 5th business day following the end of each calendar quarter (March 31, June 30, September 30, and December 31).
- All payments shall be processed via bank transfer to the account designated by the Mathematician. The account details must be provided in writing and verified by the university's Finance Office prior to the first disbursement.
- Late payments beyond the stipulated due date shall incur a penalty of 1.5% per month, in accordance with the Turkish Commercial Code (Türk Ticaret Kanunu, Article 30).
- The Mathematician shall submit a detailed invoice to the Purchaser no later than five (5) business days before each payment due date. Invoices must reference this Purchase Order number (PO-IST-2025-04872) and include the Turkish Tax Identification Number (Vergi Kimlik No).
All services rendered under this Purchase Order shall be performed at the Istanbul Metropolitan University campus located in the Beşiktaş district of Turkey Istanbul, or at such other locations within the Istanbul metropolitan area as mutually agreed upon in writing by both parties. The Mathematician is expected to be physically present on campus a minimum of three (3) days per week for the duration of the engagement. Remote work arrangements may be considered for research and writing tasks, subject to prior approval by the Department Head.
- This Purchase Order constitutes a binding agreement between the Purchaser and the Supplier upon signature by both authorized representatives. It supersedes all prior negotiations, representations, and agreements relating to the engagement of the Mathematician.
- The Mathematician warrants that all intellectual property, research findings, mathematical proofs, and publications produced during the term of this Purchase Order shall be jointly owned by the Mathematician and the Istanbul Metropolitan University, as stipulated in the university's Intellectual Property Policy (Document No. IP-2024-003).
- The Mathematician shall comply with all applicable laws and regulations of the Republic of Turkey, including but not limited to the Turkish Labor Law (4857), the Higher Education Law (2547), and data protection regulations under the Personal Data Protection Law (KVKK, Law No. 6698).
- Either party may terminate this Purchase Order with a written notice of thirty (30) days. In the event of termination, the Mathematician shall be compensated for all services rendered up to the effective date of termination, pro-rated on a monthly basis.
- The Mathematician shall maintain professional liability insurance with a minimum coverage of TRY 1,000,000.00 for the duration of the engagement. A certificate of insurance shall be provided to the Purchaser within ten (10) days of the commencement of services.
- Any disputes arising from this Purchase Order shall be resolved through the Istanbul Arbitration Institute (ISTAC) in accordance with its arbitration rules. The seat of arbitration shall be Istanbul, Turkey.
- This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Turkey. The Turkish language version of this document shall prevail in the event of any discrepancy with a translated version.
By signing below, both parties acknowledge that they have read, understood, and agree to all terms and conditions set forth in this Purchase Order. The Mathematician confirms acceptance of the scope of work, compensation structure, and performance obligations as outlined herein. The Purchaser confirms authorization of the expenditure in accordance with the university's annual budget allocation for the 2025–2026 fiscal year.
