This Purchase Order is issued by Meridian Applied Sciences Ltd. to formally engage the services of the above-named Mathematician for a period of twelve (12) months commencing 1 September 2025. The Mathematician shall provide advanced mathematical modelling, statistical analysis, algorithmic design, and theoretical research support to the Research & Analytics Division of the Buyer. All work shall be performed primarily at the Buyer's premises located in Birmingham, United Kingdom, with the option of remote engagement for up to two (2) days per week as mutually agreed in writing.

The Mathematician is expected to deliver peer-reviewed quality output, maintain full intellectual property compliance, and adhere to all data protection regulations as set out under the United Kingdom Data Protection Act 2018 and the UK GDPR. The Mathematician shall attend weekly progress meetings held at the Birmingham office and submit monthly written reports detailing the progress of all assigned mathematical tasks.

5.1 This Purchase Order constitutes a binding agreement between Meridian Applied Sciences Ltd. and the Mathematician named herein. All terms are governed by the laws of England and Wales, and any disputes shall be subject to the exclusive jurisdiction of the courts in Birmingham, United Kingdom.

5.2 The Mathematician shall be engaged as an independent contractor and not as an employee of the Buyer. The Mathematician is solely responsible for all income tax, National Insurance contributions, and any other statutory obligations arising from this engagement in the United Kingdom.

5.3 All intellectual property, mathematical proofs, algorithms, models, and documentation created by the Mathematician in the course of this engagement shall be the sole property of Meridian Applied Sciences Ltd. upon full payment of the Purchase Order value.

5.4 The Mathematician shall maintain professional indemnity insurance with a minimum cover of £2,000,000 for the duration of this Purchase Order and shall provide a certificate of insurance upon request.

5.5 Payment shall be made by direct bank transfer within thirty (30) calendar days of receipt of a valid invoice. Invoices must reference this Purchase Order number (PO-BHM-2025-04782) and include the Mathematician's VAT registration number.

5.6 Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall pay for all services rendered up to the date of termination at the rates specified in Section 4.

5.7 The Mathematician shall comply with all health and safety regulations applicable to the Birmingham, United Kingdom workplace, including but not limited to the Health and Safety at Work etc. Act 1974.

5.8 Any amendments to this Purchase Order must be made in writing and signed by both parties. Verbal agreements shall not be binding.

The Mathematician shall commence work on 1 September 2025 at the Buyer's Birmingham, United Kingdom office. Monthly deliverables shall be submitted by the 5th business day of the following month. The final comprehensive report and all outstanding deliverables shall be completed no later than 31 August 2026. Failure to meet agreed milestones without prior written approval from the Buyer's project manager may result in a deduction of 5% of the monthly fee for each week of delay, up to a maximum of 25%.

This Purchase Order is issued and authorised by the undersigned on behalf of Meridian Applied Sciences Ltd. The Mathematician's acceptance of this Purchase Order shall be confirmed by written signature and return of a copy to the Buyer's procurement department within five (5) business days of the date of issue.
