This Purchase Order is issued by Meridian Analytics & Research Group Ltd. (hereinafter referred to as the Buyer) to engage the services of Dr. James A. Harrington (hereinafter referred to as the Mathematician or Contractor) for the provision of specialist mathematical consultancy and research services. The Mathematician shall perform all duties and deliverables as outlined below, with the primary place of work and service delivery located in London, United Kingdom.

The Mathematician shall commence all services no later than 1 July 2025 and shall complete all deliverables by 30 September 2025. All on-site work, workshops, presentations, and supervisory sessions shall take place at the Buyer's registered premises at 142 Strand, Covent Garden, London, United Kingdom, or at such other location within the London metropolitan area as mutually agreed in writing. The Mathematician is expected to be physically present in London, United Kingdom, for a minimum of four (4) working days per week during the active engagement period.
5. Terms and Conditions- Governing Law: This Purchase Order and all services rendered hereunder shall be governed by and construed in accordance with the laws of England and Wales, United Kingdom. Any disputes shall be subject to the exclusive jurisdiction of the courts of London, United Kingdom.
- Intellectual Property: All mathematical models, algorithms, proofs, documentation, and intellectual property created by the Mathematician in the course of this engagement shall be the sole property of the Buyer upon full payment. The Mathematician retains the right to reference general methodologies in academic publications, provided no confidential data of the Buyer is disclosed.
- Payment Schedule: Invoices shall be submitted monthly in arrears. Payment shall be made within thirty (30) calendar days of receipt of a valid invoice, via bank transfer to the account nominated by the Mathematician. Late payments shall accrue interest at the rate of 4% per annum above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998 (United Kingdom).
- Confidentiality: The Mathematician shall maintain strict confidentiality regarding all proprietary data, trade secrets, and unpublished research of the Buyer. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
- Insurance: The Mathematician shall maintain adequate professional indemnity insurance with a minimum cover of £2,000,000 and public liability insurance of £5,000,000 throughout the duration of the engagement in the United Kingdom.
- Termination: Either party may terminate this Purchase Order by providing fourteen (14) days' written notice. In the event of termination, the Buyer shall pay for all services satisfactorily rendered up to the date of termination.
- Compliance: The Mathematician warrants that all work shall comply with applicable United Kingdom legislation, including but not limited to the Data Protection Act 2018, the UK GDPR, and all relevant professional standards set by the Royal Society and the Institute of Mathematics and its Applications (IMA).
- Force Majeure: Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, including but not limited to acts of God, government restrictions, or pandemics affecting operations in London, United Kingdom.
By signing below, both parties acknowledge and agree to the terms, conditions, and scope of work set forth in this Purchase Order. This document constitutes a binding agreement for the procurement of the Mathematician's professional services in London, United Kingdom.
