This Purchase Order is issued by Manchester Applied Sciences Institute Ltd. (hereinafter referred to as the "Buyer") to engage the services of a qualified Mathematician, Dr. Eleanor Whitfield (hereinafter referred to as the "Seller" or "Mathematician"), for the provision of advanced mathematical consultancy, research support, and analytical modelling services. The Mathematician shall perform all duties and deliverables in accordance with the specifications outlined in this Purchase Order and the attached Statement of Work (SOW-2025-MAN-0472).
The engagement of this Mathematician is specifically required to support the Buyer's ongoing programme in applied numerical analysis, stochastic modelling, and optimisation theory. The Mathematician shall be based in and provide services primarily within United Kingdom Manchester, with a minimum of four (4) days per week on-site at the Buyer's premises located at 42 Deansgate Square, Manchester. Remote work from any location within the United Kingdom Manchester metropolitan area is permissible for up to one (1) day per week, subject to prior written approval from the Buyer's Project Director.

4.1 This Purchase Order constitutes a binding agreement between the Buyer and the Mathematician upon full execution by both parties. All terms herein shall be governed by and construed in accordance with the laws of England and Wales, applicable within the United Kingdom.
4.2 The Mathematician warrants that all mathematical work, models, proofs, and analytical outputs delivered under this Purchase Order shall be original, free from intellectual property infringement, and of a standard befitting a senior academic Mathematician with a minimum of ten (10) years of post-doctoral experience.
4.3 The Mathematician shall comply with all data protection obligations under the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018. All research data processed in United Kingdom Manchester shall be stored on secure, encrypted servers located within the United Kingdom.
4.4 The Buyer reserves the right to inspect and audit the Mathematician's progress at any reasonable time during the engagement period. The Mathematician shall provide written progress reports on a fortnightly basis, submitted no later than Friday of each reporting week.
4.5 Any amendments, variations, or additional scope of work beyond what is specified in this Purchase Order must be documented in a formal Change Order, signed by both the Buyer's Procurement Manager and the Mathematician, before any additional work commences.
4.6 The Mathematician shall maintain professional indemnity insurance with a minimum cover of £5,000,000 for the duration of this Purchase Order and shall provide a certificate of insurance upon request.
Payment for services rendered under this Purchase Order shall be made in accordance with the following schedule:
- 30% Advance Payment: £27,396.00 (including VAT) due within fourteen (14) calendar days of the issue date of this Purchase Order, upon receipt of a valid tax invoice.
- 40% Milestone Payment: £36,528.00 (including VAT) due upon completion and acceptance of Items 001, 002, and 005 as specified in Section 3.
- 30% Final Payment: £27,396.00 (including VAT) due within thirty (30) calendar days of the final delivery and acceptance of all remaining deliverables.
All payments shall be made via BACS bank transfer to the account details provided by the Mathematician on the tax invoice. The Buyer shall not be liable for any late payment interest unless the delay is attributable solely to the Buyer's administrative processes. All amounts are stated in British Pounds Sterling (GBP) and are subject to the prevailing VAT rate in the United Kingdom at the time of invoicing.
The Mathematician acknowledges that, in the course of performing services under this Purchase Order in United Kingdom Manchester, they may have access to proprietary research data, unpublished findings, and confidential institutional information belonging to the Buyer. The Mathematician agrees to maintain strict confidentiality of all such information both during and for a period of five (5) years following the termination of this engagement. All intellectual property, including but not limited to mathematical proofs, algorithms, models, and reports, created specifically for the Buyer under this Purchase Order shall vest exclusively in the Buyer upon full payment.
Either party may terminate this Purchase Order by providing thirty (30) days' written notice to the other party. In the event of termination, the Buyer shall pay the Mathematician for all services satisfactorily rendered up to the effective date of termination. The Mathematician shall return all Buyer property, data, and documents in their possession within seven (7) days of the termination notice.
This Purchase Order is issued and authorised by the undersigned on behalf of Manchester Applied Sciences Institute Ltd. The Mathematician's acceptance of this Purchase Order shall be confirmed by countersignature below or by written acknowledgment within five (5) business days of receipt.
