- This Purchase Order constitutes a binding agreement between Lakeshore Analytical Solutions, LLC (hereinafter "Buyer") and Dr. Alan R. Whitfield, operating as an independent Mathematician consultant (hereinafter "Supplier"), for the provision of professional mathematical services as described herein.
- The Mathematician shall perform all services in accordance with the highest standards of mathematical rigor, academic integrity, and professional ethics. All proofs, derivations, and analytical work delivered under this Purchase Order must be original and free from plagiarism.
- All work performed under this Purchase Order shall be conducted primarily at the Buyer's offices located in United States Chicago, Illinois, or remotely at the Mathematician's discretion, subject to prior written approval by the Buyer's project manager.
- Payment shall be made within thirty (30) calendar days of receipt of a valid invoice. Invoices must reference this Purchase Order number (PO-CHI-2025-04872) and shall be submitted electronically to [email protected].
- The Mathematician warrants that all intellectual property, including but not limited to theorems, proofs, algorithms, models, and written documentation produced under this engagement, shall be the sole property of the Buyer upon full payment. The Mathematician retains the right to reference the work in academic publications with prior written consent.
- Either party may terminate this Purchase Order with fourteen (14) days' written notice. In the event of early termination, the Buyer shall compensate the Mathematician for all services rendered up to the date of termination, plus any non-cancellable expenses incurred.
- The Mathematician shall maintain professional liability insurance with a minimum coverage of $2,000,000 per occurrence, naming the Buyer as an additional insured. Proof of insurance shall be provided prior to commencement of services.
- This Purchase Order shall be governed by and construed in accordance with the laws of the State of Illinois, United States. Any disputes arising hereunder shall be resolved through binding arbitration in United States Chicago, Illinois, in accordance with the rules of the American Arbitration Association.
- The Mathematician agrees to comply with all applicable federal, state, and local regulations in the United States, including but not limited to data protection statutes, tax obligations in the State of Illinois, and the City of Chicago's professional licensing requirements where applicable.
- Confidentiality: The Mathematician shall treat all proprietary data, trade secrets, and business information accessed during the engagement as strictly confidential. This obligation survives the termination of this Purchase Order for a period of five (5) years.
- This Purchase Order may not be modified, amended, or supplemented except by a written addendum signed by authorized representatives of both parties.
By signing below, both parties acknowledge and agree to all terms, conditions, and service specifications outlined in this Purchase Order for the engagement of the Mathematician in United States Chicago.
