This Purchase Order is issued by Galveston Bay Analytics & Research Group, LLC (hereinafter referred to as the "Buyer") to engage the services of Dr. Alan R. The Mathematician shall deliver all professional outputs in accordance with the specifications outlined below and in compliance with all applicable federal, state, and local regulations governing professional services in the United States.

- Acceptance of Purchase Order: By signing below, the Mathematician acknowledges and accepts all terms, conditions, and specifications set forth in this Purchase Order. This Purchase Order constitutes a binding agreement between the Buyer and the Mathematician for the professional services described herein.
- Performance Period: The Mathematician shall commence services on or before July 1, 2025, and shall complete all deliverables no later than November 30, 2025. All on-site work shall be conducted in United States Houston, Texas, at the Buyer's designated facility unless otherwise agreed in writing.
- Payment Schedule: Payment shall be made in three equal installments: 33% upon execution of this Purchase Order, 33% upon completion of Line Items 1 and 2, and the remaining 34% upon final acceptance of all deliverables. All payments shall be made via ACH transfer to the account designated by the Mathematician.
- Intellectual Property: All mathematical models, proofs, algorithms, code, and documentation created by the Mathematician specifically for the Buyer under this Purchase Order shall be the sole and exclusive property of the Buyer. The Mathematician retains the right to reference general methodologies in academic publications, provided no proprietary data of the Buyer is disclosed.
- Confidentiality: The Mathematician agrees to maintain strict confidentiality regarding all data, trade secrets, and proprietary information accessed during the course of this engagement. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
- Compliance: The Mathematician warrants that all services shall be performed in accordance with the standards of the American Mathematical Society, applicable Texas state professional licensing requirements, and all federal regulations of the United States. The Mathematician shall maintain professional liability insurance with a minimum coverage of $1,000,000 per occurrence.
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Buyer shall compensate the Mathematician for all services rendered and expenses incurred up to the date of termination.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of Texas, United States. Any disputes arising hereunder shall be resolved through binding arbitration in Houston, Texas, in accordance with the rules of the American Arbitration Association.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from causes beyond their reasonable control, including but not limited to natural disasters affecting the Houston, Texas area, acts of government, or pandemics declared by the United States federal government.
- Entire Agreement: This Purchase Order, together with any attached exhibits or specifications, constitutes the entire agreement between the parties regarding the engagement of the Mathematician and supersedes all prior negotiations, representations, or agreements.
