This Purchase Order is issued by Saigon Applied Sciences & Research Institute Co., Ltd. (hereinafter referred to as the "Buyer") to Ho Chi Minh City Advanced Mathematics Consulting Group JSC (hereinafter referred to as the "Seller") for the professional engagement of a senior Mathematician to provide specialized mathematical research, modeling, and analytical services within the jurisdiction of Vietnam Ho Chi Minh City. The Mathematician shall be engaged to support the Buyer's ongoing projects in computational optimization, statistical modeling for urban infrastructure planning, and advanced algorithmic development for the financial technology sector operating in Ho Chi Minh City.

The Mathematician engaged under this Purchase Order shall possess a minimum of a Doctorate (Ph.D.) in Mathematics or a closely related quantitative discipline, with no fewer than ten (10) years of professional experience in applied mathematics, numerical analysis, or mathematical modeling. The Mathematician shall be physically based in Vietnam Ho Chi Minh City for the duration of the engagement and shall comply with all applicable labor regulations, tax obligations, and professional standards as governed by the laws of the Socialist Republic of Vietnam.

All prices are quoted in Vietnamese Dong (VND). The total amount is equivalent to approximately USD 58,872 at the prevailing exchange rate. Payment shall be made via bank transfer to the Seller's designated account in Ho Chi Minh City.

5.1 Delivery and Performance

The Mathematician shall commence services no later than 1 July 2025 and shall render all services at the Buyer's primary facility located in District 1, Ho Chi Minh City, Vietnam, unless otherwise agreed in writing. All deliverables, including mathematical proofs, model documentation, algorithmic code, and analytical reports, shall be submitted in both Vietnamese and English to ensure compliance with local regulatory requirements in Vietnam Ho Chi Minh City.

5.2 Payment Terms

Payment shall be made in quarterly installments within thirty (30) calendar days of receipt of a valid invoice from the Seller. The first installment of 25% shall be due upon execution of this Purchase Order. Subsequent installments of 25% each shall be due at the end of months three, six, nine, and twelve of the engagement period. Late payments shall incur a penalty of 0.05% per day as stipulated under Vietnamese commercial law.

5.3 Intellectual Property

All mathematical models, algorithms, proofs, and research outputs developed by the Mathematician under this Purchase Order shall be the exclusive property of the Buyer. The Mathematician shall assign all intellectual property rights arising from the engagement to the Buyer upon full payment. The Mathematician retains the right to reference general methodologies in academic publications, provided that no proprietary data or confidential information of the Buyer is disclosed.

5.4 Confidentiality

The Mathematician shall maintain strict confidentiality regarding all data, algorithms, and business strategies of the Buyer. This obligation shall survive the termination of this Purchase Order for a period of five (5) years. Breach of confidentiality shall entitle the Buyer to seek injunctive relief and damages under the laws of Vietnam.

5.5 Termination

Either party may terminate this Purchase Order with a written notice of sixty (60) days. In the event of termination, the Buyer shall pay for all services rendered up to the date of termination. The Mathematician shall return all proprietary materials and documentation belonging to the Buyer within fourteen (14) days of the termination notice.

5.6 Governing Law and Dispute Resolution

This Purchase Order shall be governed by and construed in accordance with the laws of the Socialist Republic of Vietnam, including the Civil Code and the Commercial Law applicable in Ho Chi Minh City. Any disputes arising from this Purchase Order shall first be resolved through amicable negotiation. If unresolved within thirty (30) days, the dispute shall be submitted to the Ho Chi Minh City Arbitration Centre for binding arbitration.

5.7 Compliance

The Mathematician shall comply with all applicable regulations of the Ministry of Science and Technology of Vietnam, the Ho Chi Minh City People's Committee, and any relevant professional licensing bodies. The Seller warrants that the Mathematician holds all necessary permits and qualifications to perform mathematical consulting services in Vietnam Ho Chi Minh City.

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the engagement of the Mathematician in Vietnam Ho Chi Minh City. This Purchase Order constitutes a binding commercial agreement between the Buyer and the Seller.
