- This Purchase Order is issued in accordance with the Zimbabwe Government Procurement Regulations (2020) and the Harare University Research & Development Division internal procurement policy. All services rendered under this Purchase Order shall be performed by the named Mathematician or, with prior written approval from the Buyer, by a qualified substitute of equivalent academic standing.
- The Mathematician shall commence all duties no later than 1 July 2025 and shall complete all deliverables by 31 December 2025 unless otherwise agreed in writing. Any extension of the project timeline must be requested at least fourteen (14) calendar days in advance and approved by the Buyer's Head of Procurement.
- All work product, including but not limited to mathematical models, code, reports, and training materials produced under this Purchase Order, shall be the exclusive intellectual property of the Buyer. The Mathematician retains the right to reference the work in academic publications with prior written consent.
- Payment shall be made in United States Dollars (USD) via bank transfer to the account specified by the Mathematician within thirty (30) days of receipt of a valid invoice. Invoices must reference this Purchase Order number (HURD-2025-0472) and be submitted to the Zimbabwe Harare procurement office at 14 Samora Machel Avenue.
- The Mathematician is required to maintain a minimum of 20 hours per week of dedicated availability at the Harare University campus or the designated Zimbabwe Harare project site. Travel within the Harare metropolitan area is included in the contracted rate; travel outside Harare shall be reimbursed at cost with receipts.
- Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall pay for all services satisfactorily rendered up to the date of termination. The Mathematician shall deliver all work-in-progress materials within seven (7) days of the termination notice.
- The Mathematician shall comply with all applicable laws of the Republic of Zimbabwe, including the Data Protection Act (Chapter 11:12) and the Zimbabwe Revenue Authority (ZIMRA) tax obligations. The Mathematician is responsible for declaring and remitting all personal income tax on earnings derived from this Purchase Order.
- Confidentiality: The Mathematician shall treat all data, proprietary information, and project details as strictly confidential. Breach of confidentiality shall result in immediate termination of this Purchase Order and may subject the Mathematician to legal proceedings under Zimbabwean law.
- Disputes arising from this Purchase Order shall be resolved through mediation in Zimbabwe Harare in accordance with the Mediation Act (Chapter 10:02). If mediation fails, disputes shall be referred to the High Court of Zimbabwe, Harare.
- This Purchase Order constitutes the entire agreement between the parties regarding the engagement of the Mathematician for the services described herein and supersedes all prior negotiations, representations, or agreements.
