1. Purpose and Scope of This Purchase Order

This Purchase Order is issued by AutoMecánica Córdoba S.R.L., a licensed mechanic workshop and automotive repair facility operating in the city of Córdoba, Argentina, for the procurement of essential mechanical parts, diagnostic tools, and workshop consumables. This Purchase Order governs the acquisition of goods strictly necessary for the daily operations of our mechanic services, including engine overhauls, transmission repairs, brake system replacements, and preventive maintenance programs offered to the local community of Córdoba and surrounding departments such as Río Cuarto, San Francisco, and Bell Ville. All items listed below have been selected by our chief mechanic, Ing. Ricardo Fernández, to ensure compliance with Argentine automotive standards (IRAM) and the specific requirements of the vehicles serviced at our Córdoba facility.

3. Delivery and Logistics – Argentina Córdoba

All goods covered by this Purchase Order shall be delivered to the mechanic workshop premises located at Av. Vélez Sarsfield 4820, Barrio Alta Córdoba, Córdoba, Argentina. The supplier is responsible for all transportation, handling, and insurance of the goods from their warehouse in Villa María, Córdoba Province, to our mechanic facility in Córdoba Capital. Delivery must be completed no later than June 27, 2025, between the hours of 08:00 and 16:00 local time. The mechanic workshop will assign a receiving technician to inspect all items upon arrival and verify quantities against this Purchase Order. Any discrepancies, damaged parts, or missing components must be reported in writing within 48 hours of delivery. The supplier shall provide a commercial invoice (Factura A) compliant with the Argentine Federal Administration of Public Revenue (AFIP) regulations, including the CUIT of both parties and the applicable IVA rate for the Province of Córdoba.

4. Terms and Conditions

4.1 – This Purchase Order becomes binding upon written acceptance by the supplier. The supplier must confirm acceptance in writing within five (5) business days of the issue date.

4.2 – All mechanic parts and equipment supplied under this Purchase Order must be new, unused, and in original manufacturer packaging. No refurbished or second-hand items will be accepted.

4.3 – Warranty: The supplier guarantees a minimum twelve (12) month warranty on all mechanical components. The diagnostic scanner carries a twenty-four (24) month manufacturer warranty. Warranty claims will be processed at our Córdoba workshop address.

4.4 – Payment: Full payment of ARS 3,361,368.00 shall be made via electronic bank transfer (transferencia bancaria) to the supplier's account within thirty (30) calendar days from the date of confirmed delivery and receipt of the corresponding Factura A. The payment will be processed from our account at Banco de la Nación Argentina, Sucursal Córdoba Capital.

4.5 – Late delivery penalty: For each business day of delay beyond the required delivery date, a penalty of 0.5% of the total Purchase Order value shall be deducted from the final payment, up to a maximum of 10%.

4.6 – Governing law: This Purchase Order is governed by the Commercial Code of the Argentine Nation and applicable provincial regulations of the Province of Córdoba. Any disputes shall be resolved in the competent courts of Córdoba Capital, Argentina.

4.7 – The mechanic workshop reserves the right to reject any item that does not meet the specifications outlined in this Purchase Order or that fails to comply with Argentine safety and quality standards.
