1. Description of Purchase Order ScopeThis Purchase Order is issued by Dhaka Auto Fleet Management Ltd. to procure professional Mechanic services for the maintenance, repair, and overhaul of a fleet of 25 commercial vehicles operated within Dhaka, Bangladesh. The selected Mechanic service provider shall be responsible for all diagnostic, mechanical, electrical, and hydraulic work required to keep the fleet in optimal operational condition. The scope of this Purchase Order covers a continuous service engagement spanning twelve (12) months, commencing from 1 July 2025 through 30 June 2026, with all work to be performed at the supplier's workshop located in Uttara, Dhaka, Bangladesh, or at the buyer's premises as mutually agreed upon in writing.

- Payment shall be made in Bangladeshi Taka (BDT) via bank transfer to the supplier's designated account at BRAC Bank, Uttara Branch, Dhaka, Bangladesh.
- 30% advance payment (BDT 1,273,912.50) shall be due within seven (7) working days of the acceptance of this Purchase Order.
- 40% milestone payment (BDT 1,698,550.00) shall be due upon completion of the first six (6) months of Mechanic service delivery, subject to satisfactory inspection by the buyer's technical team.
- 30% final payment (BDT 1,273,912.50) shall be due within fifteen (15) working days of the completion of the full twelve-month service period and final acceptance.
- All payments are subject to the supplier providing a valid Tax Invoice and VAT receipt in accordance with the Bangladesh National Board of Revenue (NBR) regulations.
- The Mechanic service provider shall mobilize all qualified technicians, tools, and equipment to the designated workshop in Uttara, Dhaka, no later than 28 June 2025.
- Quarterly preventive maintenance visits shall be scheduled on the first week of January, April, July, and October 2025–2026.
- Emergency Mechanic dispatch within Dhaka city limits shall be initiated within two (2) hours of the buyer's request, with on-site arrival within four (4) hours.
- All major repair work (engine, transmission, brake overhaul) shall be completed within ten (10) working days of vehicle intake, unless otherwise agreed in writing.
- This Purchase Order is governed by the laws of the People's Republic of Bangladesh. Any disputes arising from this Purchase Order shall be resolved through arbitration in Dhaka, Bangladesh, in accordance with the Bangladesh Arbitration Act, 2001.
- The Mechanic service provider warrants that all work shall be performed by certified and experienced mechanics holding valid trade licenses issued by the relevant authority in Dhaka, Bangladesh.
- All spare parts used under this Purchase Order shall be genuine OEM or approved equivalent parts. The supplier shall provide part traceability records upon request.
- The supplier shall maintain comprehensive liability insurance covering all vehicles in the buyer's fleet while under repair, with a minimum coverage of BDT 5,000,000 per vehicle.
- The buyer reserves the right to conduct unannounced quality inspections of the workshop and in-progress work at any reasonable time during the service period.
- Failure to meet the agreed turnaround times shall result in a penalty of 0.5% of the applicable line item value per day of delay, capped at 10% of that line item.
- This Purchase Order may be terminated by either party with thirty (30) days' written notice. In the event of termination, the buyer shall pay for all Mechanic services satisfactorily rendered up to the termination date.
- The supplier shall comply with all environmental and occupational health and safety regulations applicable in Dhaka, Bangladesh, including proper disposal of used oils, batteries, and hazardous materials.
- Confidentiality: Both parties agree to treat all operational data, vehicle records, and commercial terms of this Purchase Order as strictly confidential and shall not disclose them to third parties without prior written consent.
By signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order for Mechanic services in Dhaka, Bangladesh. This document constitutes a binding agreement between the parties upon execution.
